Overview
This position is a Real Estate Assistant Corporate Counsel role reporting directly to the General Counsel within the organization’s legal department. The role is highly visible and involves hands-on legal work across the organization and externally, supporting large industrial land acquisition transactions nationwide.
Responsibilities
- Evaluate land acquisitions and sales; structure and manage land transactions
- Support entitlement, development, and construction processes
- Handle corporate, infrastructure, vendor, and other transactional and regulatory matters related to real estate
Specific responsibilities include:
- Identify and evaluate legal issues and risk; provide legal and business recommendations to internal stakeholders
- Analyze and advise on legal issues and risk across real estate transactions from contracting through due diligence, closing, entitlements, development, and construction
- Undertake and manage due diligence, including title and survey review
- Conduct negotiations with buyers, sellers, governmental entities, development partners, and other stakeholders
- Partner with internal real estate, entitlement, development, and construction teams on land contracting and related matters
- Interact with landowners and landowners’ attorneys in a professional manner that supports a positive company image
- Draft, negotiate, and prepare contracts across transaction phases, including land acquisitions and sales, entitlements, development, construction, infrastructure, procurement, vendor, and complex contracts
- Manage corporate entity filings and draft/prepare corporate entity documentation
- Advise on process improvements to support business objectives
- Manage outside counsel for local and regulatory issues
- Collaborate effectively in a highly matrixed environment
Requirements (Baseline)
- Education/Accreditations: JD required from an ABA accredited law school
- Licensure: Admitted to and in good standing with a state bar
- Experience: 5 to 8+ years of in-depth real estate and transactional knowledge and understanding of real estate law, land use, development, construction, corporate governance, complex contracts, compliance, and regulatory matters for commercial real estate acquisitions and real estate development
- Preferably prior law firm experience
Preferred Qualifications
- Demonstrated success with all aspects of complex commercial real estate transactions
- Comprehensive knowledge of real estate, development, land use, construction, infrastructure, and complex transaction language
- Extensive experience drafting, reviewing, and negotiating real estate documents for acquisition, sale, and development processes
- Comprehensive knowledge of corporate governance
- Extensive experience drafting and preparing corporate entity documentation
- Extensive experience drafting, reviewing, and negotiating land use, entitlement, infrastructure, and construction documentation
- Experience with real estate finance and real investment trusts (REIT)
- Extensive experience in drafting, reviewing, and negotiating complex contracts
- Demonstrated project management skills, preferably tied to real estate acquisitions, sales, land use, development, and construction
Compensation & Benefits
- Annual base salary range: $190,000 - $210,000 + Discretionary Bonus
