Overview
A nationwide leader in custom HVAC products and services is seeking an Assistant General Counsel to provide comprehensive legal support. The organization serves commercial, industrial, healthcare/life sciences, and residential building markets, offering expertise in product, technical support, system design, and operations. The legal role will focus on corporate governance, commercial contracting, compliance, litigation management, and mergers and acquisitions, primarily supporting subsidiaries and growth in the East and Midwest regions.
This position is remote with a requirement to work Eastern and/or Central Standard Time hours.
Responsibilities
- Advise on corporate governance matters including board and shareholder issues, entity management, and maintenance of corporate records.
- Draft, review, and negotiate a variety of commercial contracts such as NDAs, master sales agreements, and vendor contracts.
- Ensure compliance with applicable laws and regulations, including employment, privacy, and data security.
- Manage litigation and dispute resolution processes, oversee outside counsel, and develop risk mitigation strategies.
- Support mergers and acquisitions activities including due diligence, preparation of transaction documents, and integration planning.
- Contribute to the development of internal policies, contract review procedures, and compliance programs.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- Admission to a state bar in good standing.
- Minimum of 5 years of legal experience, preferably in corporate law or a large law firm.
- Strong knowledge of corporate law, commercial transactions, and regulatory compliance.
- Excellent negotiation, drafting, and communication skills.
- Ability to manage multiple priorities and collaborate effectively with business leaders.
- Experience with mergers and acquisitions transactions and integration is preferred.
- Familiarity with employment law and intellectual property matters is a plus.
- Comfort using technology-driven contract management tools is advantageous.
Compensation & Benefits
- Estimated salary range: $200,000 - $240,000, flexible based on experience.

- Remote position with required availability during Eastern and/or Central Standard Time hours.
