Overview
A healthcare impact strategy firm focused on improving care access, quality, and outcomes for vulnerable populations is seeking an Assistant General Counsel. The role involves providing complex legal counsel primarily related to healthcare law, including federal and state Medicaid and Medicare regulations, as well as corporate and commercial legal matters.
Responsibilities
- Monitor and advise on healthcare requirements, focusing on federal and state Medicare and Medicaid statutes, regulations, policies, and related litigation.
- Provide legal analysis of healthcare-related case law and policies, assessing their impact on client programs, policies, and operational strategies.
- Identify legal risks and support relationships with external legal counsel on healthcare finance and policy issues.
- Serve as a generalist attorney offering broad legal counsel across corporate governance, compliance, and general business matters.
- Advise on and represent the organization in contract negotiations, including state/local government and commercial contracts.
- Prepare, review, and edit contracts, procurement documents, proposals, and other legal documents such as Business Associate Agreements (BAAs) and Data Use Agreements.
- Assist with all phases of Mergers & Acquisitions (M&A) activities, including due diligence, deal documentation, outside counsel management, and integration.
- Support marketing activities by reviewing external materials for legal compliance and accuracy.
- Assist other functional areas with internal projects, risk mitigation strategies, and oversight of outside counsel engagements for business or administrative matters.
Requirements
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Admission in good standing to at least one U.S. jurisdiction; admission or eligibility to obtain admission as corporate counsel to the Pennsylvania Bar within one year is required.
- 5 to 7 years of professional legal experience, including broad generalist experience in corporate and commercial matters.
- Substantial experience in healthcare-related legal matters such as Medicaid, Medicare, managed care, or provider/health system work.
- Preferred experience includes a combination of in-house, government, and law firm roles.
- Knowledge of common law and relevant state and federal laws, including Medicare and Medicaid.
- Working knowledge of M&A processes is preferred.
- Strong legal research skills and ability to interpret, analyze, and organize facts, evidence, and precedents.
- Ability to draft and interpret contracts and other legal instruments.
- Effective communication and interpersonal skills.
- Familiarity with contract management systems and compliance tools is preferred.

Compensation & Benefits
- Salary range: $130,000 to $160,000 annually, depending on geographic market and candidate qualifications.
