Overview
This role involves providing legal counsel primarily focused on emerging companies and venture capital matters. The attorney will handle entity formation, equity and debt financings, commercial contracts, corporate governance, and general corporate issues. Close collaboration with the Managing Partner and business team members is expected.
Responsibilities
- Act as outside general counsel to early-stage and growth companies, addressing day-to-day legal questions and providing practical, business-oriented advice.
- Form and structure new entities such as Delaware C-corporations and LLCs, draft founder documents including IP assignments, vesting schedules, rights of first refusal, and co-sale agreements, and establish capitalization tables.
- Lead venture financings from pre-seed through Series B and beyond, drafting and negotiating SAFEs, convertible notes, NVCA equity rounds, term sheets, stock purchase agreements, investor rights agreements, voting agreements, and related closing documents.
- Manage debt transactions for venture-backed companies by reviewing term sheets, negotiating loan and security agreements, warrants, intercreditor and subordination arrangements, and coordinating perfection and filings.
- Oversee closing execution including running diligence, building and tracking closing checklists, coordinating signatures, managing data rooms, and ensuring timely, clean closings.
- Draft, review, and negotiate commercial contracts such as SaaS subscriptions, master service agreements, statements of work, data processing agreements, NDAs, vendor, and partnership agreements with attention to data, intellectual property, and risk allocation.
- Advise on corporate governance and compliance matters including board and stockholder consents, charter and bylaw updates, equity plan administration, 409A valuations, insider trading matters, and maintaining minute books.
- Manage projects and client communications proactively across time zones in a primarily remote work environment, balancing responsiveness with high-quality work.
Requirements
- Juris Doctor (J.D.) degree from a top law school.
- Membership in the New York State Bar.
- Minimum of 2 years of experience at a top national law firm or in-house at a technology company.
- Strong project management, analytical, oral, and written communication skills.
- Ability to work independently while maintaining connection with the team in a remote work setting.
