Associate Attorney

Overview

This role is for an Associate Attorney specializing in commercial transactional law. The position is fully remote and involves representing clients across various industries such as healthcare, telehealth, regulated sectors, technology, AI, commercial real estate, and other growth-stage businesses. The practice areas include commercial transactions, corporate structuring, contract drafting and negotiation, financing matters, regulatory strategy, and outside general counsel support.

Responsibilities

• Draft, review, and negotiate a variety of commercial agreements including stock purchase agreements, asset purchase agreements, and employment agreements
• Support clients with corporate structuring and governance documents such as operating agreements, shareholder agreements, bylaws, and resolutions
• Assist with mergers and acquisitions, financing transactions, and other strategic business deals
• Provide outside general counsel-style support on day-to-day legal and business matters
• Analyze legal, regulatory, and operational issues affecting clients in industries including healthcare, telehealth, commercial real estate, and technology
• Conduct research on complex legal issues
• Communicate directly with clients clearly, practically, and professionally
• Manage multiple matters simultaneously with strong attention to detail and responsiveness
• Collaborate with firm leadership and other attorneys on complex legal and strategic issues
• Contribute to the growth and development of the firm’s practice

Requirements

• 3-6 years of legal experience
• Preferably experience in commercial transactional practice
• Active admission to practice law in any U.S. jurisdiction
• Strong drafting, negotiation, and client communication skills
• Ability to work independently and professionally in a fully remote environment

Compensation & Benefits

• Salary range: $125,000 to $180,000, depending on experience
• Bonus opportunity
• Fully remote position
