Overview
This role is for an Associate Commercial Counsel to join a global commercial legal team focusing on general commercial deal work, including sales and procurement-related contracts, processes, and procedures. Reporting to the Senior Commercial Counsel - North America Lead, the position primarily supports global sales and procurement strategies along with other cross-functional teams.
The role involves working closely with sales and procurement teams to draft, review, and negotiate a high volume of complex commercial contracts with vendors, customers, and business partners worldwide. It offers the opportunity to handle a wide variety of commercial transactions and to develop efficient, scalable approaches to commercial legal matters.
Responsibilities
- Engage directly in complex sales and procurement deals and collaborate with various teams to implement company initiatives.
- Work on diverse contract types including sales, vendor procurement, marketing, M&A, real estate, and infrastructure agreements.
- Partner with cross-functional business teams to develop innovative strategies that increase the efficiency and effectiveness of commercial legal support.
- Act as a trusted leader, problem solver, and innovator for key stakeholders across the organization.
- Develop and refine team playbooks, fallback guides, cross-functional resource documents, and training materials.
Requirements
- Minimum of 2+ years as a practicing commercial attorney with substantive experience drafting and negotiating complex commercial agreements such as SaaS, licensing, technology, equipment, and marketing agreements.
- Experience managing and interacting directly with clients and opposing counsel.
- Strong ability to translate complex legal issues into clear, simple guidance and to collaborate effectively across all levels of the organization.
- Passion for client service and operational efficiency.
- High integrity, strong ethics, and a calm, professional demeanor.
- Self-starter with eagerness to learn substantive law, negotiation skills, and internal policies and procedures.
- J.D. degree with strong academic credentials and a demonstrated record of success as a lawyer.
- Member in good standing of the bar and, if applicable, in-house counsel registration.
- Desire or experience working in a virtual-first environment with demonstrated initiative.
Preferred Qualifications
- Experience as a commercial attorney in a law firm setting and at least 1+ year as an in-house attorney at a technology company.
- Ability to handle multiple types of cross-functional commercial matters, including customer-facing agreements, M&A integration and support, and commercial disputes.
- Expertise in data privacy law (e.g., CIPP certification), AI regulations, and intellectual property.
- Experience developing and refining team playbooks, fallback guides, resource documents, and training materials.
- Experience partnering with globally distributed in-house business teams, particularly at SaaS companies, managing a high volume of complex commercial transactions.

This role is open for candidates located in US Zones 2 and 3 only.

US Zone 2 Salary Range: $166,800 to $225,600 USD annually.

US Zone 3 Salary Range: $148,200 to $200,600 USD annually.

Salary ranges represent expected annual salary/On-Target Earnings (OTE) and are subject to change. OTE applies to sales roles only.

Compensation includes eligibility for corporate bonus programs or sales incentives, as well as stock awards in the form of Restricted Stock Units (RSUs).

Individual starting pay is determined based on job level, location, skillset, and peer compensation, typically between the minimum and midpoint of the range.
