Overview
A growing legal team is seeking an Associate Counsel, Commercial Contracts based in India. This role involves reviewing and negotiating global commercial contracts, with a focus on vendor and supplier agreements across multiple regions including the United States, Europe, India, and Singapore. The position reports to the Managing Counsel, APAC and collaborates with various business functions such as People, Security, and Procurement to support the organization's growth objectives while managing legal risk.
Responsibilities
- Draft, review, and negotiate commercial contracts including Master Services Agreements, Services Agreements, Statements of Work (SOWs), Service Level Agreements, Order Forms, and NDAs
- Provide general transactional legal support across the organization, emphasizing vendor and supplier agreements
- Stay informed on relevant laws, regulations, and industry guidance affecting commercial agreements
- Enhance and maintain legal playbooks to support scaling of the legal function
- Work effectively across different functional groups and time zones in a dynamic environment
- Provide legal and strategic business advice ensuring agreements align with internal policies and processes
- Support the broader legal team on various legal matters as needed
Requirements
- Fully qualified lawyer admitted to practice law in India
- Minimum of 3 years of experience drafting, reviewing, and negotiating global commercial agreements, preferably with a focus on vendor/supplier contracts
- Experience working in-house or at a nationally recognized law firm, or a combination thereof
- Strong business acumen with a pragmatic, client-service oriented approach balancing legal risk
- Excellent negotiation skills with the ability to maintain firm and patient positions
- Effective communication skills to interact with internal and external stakeholders of diverse backgrounds
Preferred Qualifications
- Experience with contract management systems
- Knowledge of privacy laws and regulations
