Overview
The organization is seeking an Associate Counsel to support the contracting function within the Legal Department and assist with other business areas as needed.
Responsibilities
- Review, negotiate, and manage third-party contracts, including master services agreements, commercial agreements, consulting agreements, confidentiality agreements, collaboration agreements, supply agreements, and other agreements.
- Manage and analyze existing contract templates; develop new templates and update existing templates in accordance with company guidelines, policies, and Legal Department requirements.
- Advise internal clients on the company’s contract management system and policies.
- Collaborate with other in-house attorneys and paralegals in the Legal Department to achieve business goals quickly.
- Create and conduct legal training for employees and provide ongoing training to internal clients on contract processes and other company policies.
- Research, analyze, and recommend solutions to business partners to resolve legal and business issues.
- Prepare contract summaries and issue lists for executives.
- Monitor compliance with internal company business and legal processes and policies.
Requirements
- 0–2 years of experience as in-house counsel, or a combination of in-house experience, government experience, and/or experience at a nationally recognized law firm specializing in the specific responsibilities listed above.
- Juris Doctorate from an accredited law school.
- Admitted to practice in California or admitted in another state and able to obtain in-house counsel registration in California.
- Experience in contract law, including strong drafting, review, and proofing skills, with demonstrated attention to detail in document drafting.
- Understanding of contracts and knowledge of key provisions including indemnities, limitations of liability, intellectual property, warranties and covenants, regulatory provisions, performance obligations, dispute resolution, termination, and other critical contract negotiation issues.
- Ability to build strong relationships with peers and partners within and across functional teams in a fast-moving environment.
- Ability to assimilate information quickly, identify critical factors and risks, and implement immediate changes when needed.
- Excellent written and oral communication skills.
- Ability to work effectively in a fast-paced biotechnology company.
- Ability to multitask efficiently and willingness to perform all necessary tasks to drive projects to completion.
- In-depth knowledge of Microsoft Office tools, including Word, Excel, PowerPoint, Outlook, and Windows, as well as document comparison tools.
- Available to travel on a limited basis as needed.
Preferred Qualifications
- Undergraduate degree in life sciences or a healthcare-related field (preferred, but not required).
