Overview

An organization is seeking an Associate Counsel to join their technology and information security legal team. This role focuses on providing legal support related to cloud technology, digital platforms, and SaaS transactions. The Associate Counsel will handle licensing and technology vendor agreements across the enterprise, collaborating closely with IT, Privacy, Sourcing, and Sales teams to facilitate technology use.

This is a remote position.

Responsibilities

  • Draft, review, and revise a variety of agreements including routine sales contracts, non-standard customer agreements, supplier, distributor, clinical, service, and consulting agreements.
  • Learn and apply contracting policies to analyze draft contracts.
  • Advise on complex IT vendor agreements and digital product contracts in collaboration with Sourcing, Sales, and IT teams.
  • Develop and support playbooks and templates for consistent legal review of IT, security engagements, and technology agreements.
  • Assist with reviewing data processing agreements.
  • Ensure legal alignment with IT and business strategies.
  • Identify when complex legal or factual issues require escalation to senior attorneys and assist in resolving these issues.
  • Help create, implement, and manage systems for efficient contract creation, negotiation, oversight, and execution.
  • Coordinate contract negotiations involving multiple cross-departmental functions.
  • Obtain necessary internal approvals for contract terms and provisions.
  • Identify opportunities for process improvements.
  • Perform file management and records retention duties.
  • Provide and receive constructive feedback to contribute to a positive team environment.
  • Communicate legal risks and advise senior leadership on possible solutions.
  • Provide guidance and assistance to Contracts Specialists within the department.
  • Perform other duties as assigned.

Requirements

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law and in good standing with the bar of at least one U.S. state or the District of Columbia.
  • Compliance with local legal license requirements.
  • 5 to 10 years of relevant professional experience in a law firm or corporate legal department.
  • Proven ability to manage multiple matters simultaneously and meet tight deadlines.
  • Strong skills in translating technical concepts into practical legal guidance for cross-functional teams.
  • Excellent judgment and collaboration skills.
  • Ability to initiate and drive change in a dynamic environment.
  • Comfortable working independently and as part of a team.
  • Experience providing timely and strategic legal advice.
  • Proficiency with Microsoft Office Suite (Word, Excel, Access, PowerPoint).
  • Advanced contract negotiation skills.

Preferred Qualifications

  • Experience communicating with senior leadership regarding legal risks and advising on solutions.

Compensation & Benefits

  • Expected pre-tax salary range: $107,500 to $173,075.
  • Actual pay may vary based on experience and geographic location.
