Overview

The Associate Counsel provides legal counsel to management and assists in planning and directing the organization’s legal affairs, helping ensure maximum protection of the organization’s legal rights.

Responsibilities

  • Provide legal and business counsel to management.
  • Lead complex legal projects with minimal supervision and resolve matters effectively.
  • Support Sales and Account Management in customer contract negotiations.
  • Support Network Development in healthcare provider contract negotiations.
  • Draft, distribute, and maintain provider, customer, and vendor agreement templates, including tools, processes, and procedures for use of such agreements.
  • Provide contracting support to other departments, including Human Resources, Credentialing, and IT.
  • Support Customer Service/Dispute Resolution processes and help develop and implement preventive programs to mitigate legal exposure.
  • Participate in managing litigation strategy and directing relationships with outside counsel.
  • Participate in developing and delivering training programs for internal departments.
  • Support regulatory compliance programs and processes, including:
    • Researching and reviewing emerging legislation and regulation
    • Developing compliance policies
    • Supporting implementation of compliant policies and processes
    • Supporting client compliance
  • Supervise, train, and provide direction to Assistant Counsel, paralegals, and administrative staff.
  • Collaborate, coordinate, and communicate across disciplines and departments, and with external counsel and advisors.
  • Ensure compliance with HIPPA regulations and requirements.
  • Support product and solution development, implementation, and maintenance for the Innovation & Solution Lifecycle team.
  • Provide legal expertise on questions related to AI, technology, and data use.
  • Maintain a strong understanding of the organization’s suite of products and services, particularly as industry and regulatory landscapes evolve.
  • Review marketing materials, including proposals, slide decks, white papers, and scripts.
  • Work with Client and Vendor Legal teams to ensure products are accurately described and protected in client agreements, including support for AI vendor agreements and engagements.
  • Assist with development and maintenance of template language used in contracts.
  • Research legal issues and prepare legal memoranda and correspondence.
  • Provide guidance to other members of the Legal department on areas of expertise.
  • Support development and implementation of relevant policies and procedures.

Job Scope

This role assumes responsibility for complex legal projects and works independently under minimal supervision and with considerable discretion to make decisions affecting day-to-day operations. The position applies comprehensive knowledge of legal principles, practices, and procedures to complete responsibilities and acts as a resource for Associate Counsels, Paralegals, other Legal department staff, and other company departments. Work requires using sound logic and rationale, advancing issues toward resolution under ambiguity, choosing the best alternative using pros/cons/tradeoffs/timing/resources considerations, making timely decisions for immediate matters, and providing sound guidance on complex legal/business issues. The incumbent may have direct subordinates and generally provides work direction to others who do not directly report to this job.

Requirements (Education, Experience, and Training)

  • Minimum Juris Doctorate.
  • Minimum 5 years’ experience related to legal practice, including a background in healthcare and/or other related fields such as contracting, regulatory compliance, or litigation.
  • J.D. degree from an ABA accredited law school.
  • Bar admission, in good standing, in at least one U.S. jurisdiction.
  • Minimum of 5 years prior in-house or law firm experience.
  • Other required licensures, professional certifications, and/or Board certifications as applicable.
  • Proficiency in meeting management, analytical, communication, presentation, people management, and problem-solving skills.
  • Ability to analyze issues and use sound judgment.
  • Ability to drive execution.
  • Ability to handle long-term and/or complex legal projects with significant financial or other business impact.
  • Ability to manage outside counsel.
  • Ability to write reports, business correspondence, and procedure manuals.
  • Ability to effectively present information and respond to questions from groups of managers, clients, or employees.
  • Ability to define problems, collect data, establish facts, and draw valid conclusions.
  • Ability to represent the organization in a positive and professional manner.
  • Ability to perform multiple tasks simultaneously and adapt to changing priorities.
  • Ability to work independently and as a member of a team.
  • Ability to use software, hardware, and peripherals related to job responsibilities.

Preferred Qualifications

  • 5+ years prior experience related to healthcare or other related fields.
  • 3–5 years prior experience in technology and/or AI related fields.
  • Experience working with cross-functional teams or supporting operational, product, or other business teams.
  • Experience handling long-term and/or complex legal projects.
  • Strong verbal and written business communication skills, including synthesizing and summarizing complex concepts into clear, concise, actionable communications.
  • Exceptional interpersonal skills, including the ability to foster collaboration and influence colleagues to drive results.
  • Strong time and project management skills, including the ability to appropriately prioritize tasks and goals.
  • Detail-oriented and highly organized.
  • Ability and desire to learn new subject areas and willingness to take on new responsibilities.

Compensation & Benefits

  • Salary range: $155k–$170k.
  • Offer amount will consider education, experience, and skills, as well as work location and internal equity.
  • Eligible for health insurance, 401k, and bonus opportunity.
