Overview

This role involves advising on a broad range of legal issues, including reviewing, drafting, and negotiating various contracts and handling general corporate and compliance matters. Responsibilities

  • Review, draft, negotiate, and advise on a wide range of contracts such as employment agreements, equity documents, separation agreements, account purchase agreements, independent contractor agreements, vendor agreements, data privacy agreements, collaborative agreements, and confidentiality agreements.
  • Collaborate with multi-functional transactional teams including corporate and business development, accounting, sales, and human resources on company policy, process, procedure development, and legal compliance.
  • Assist internal and external legal counsel by providing guidance on legal matters and anticipate, mitigate, and advise on potential legal issues across corporate groups, client engagements, and third-party relationships.
  • Advise business groups on employment-related issues including wage and hour, employee relations, hiring practices, performance management, employee separations, leave requests, accommodations, and general HR compliance.
  • Assist with developing and implementing legal compliance projects.
  • Work with external counsel and internal teams to respond to subpoenas and litigation discovery requests.
  • Support pre- and post-close merger and acquisition activities, including reviewing transaction-related agreements, improving transaction-related processes, and preparing information for due diligence.
  • Initiate and drive legal department process improvements to increase efficiencies and support business objectives.
  • Review and revise internal legal policies, processes, and procedures.

Requirements

  • Juris Doctor degree from an ABA-accredited law school.
  • Membership in good standing of at least one State Bar or the District of Columbia State Bar.
  • Experience in employment law and/or mergers and acquisitions practice.
  • Preferred experience in reviewing, drafting, and negotiating contracts.
  • Minimum of two (2) years of related work experience.
  • Excellent verbal and written communication skills.
  • Ability to provide practical, business-oriented legal guidance to non-lawyer company representatives.
  • Advanced analytical, problem-solving, and time management skills.
  • Strong interpersonal skills with the ability to establish professional relationships with internal clients, management, and legal colleagues.
  • Excellent planning, organizational, and prioritization skills, including the ability to manage multiple high-priority projects.
  • Good judgment, including sound business judgment.
  • Proficiency in Microsoft Office products.
