Overview

An organization in the Energy & Utilities sector is seeking an Associate General Counsel AMC - Commercial and Government Contracts. This role focuses on providing business-aligned legal guidance related to governance, compliance, and operational risk management. The position involves partnering with leadership, compliance stakeholders, and cross-functional teams to translate complex legal issues into practical recommendations that support responsible execution, improved decision-making, and sustainable growth.

Location: Remote (U.S. based candidates only, no visa sponsorship available)

Compensation: $198,000 annually

Responsibilities

  • Serve as the primary legal advisor to the AMC segment and act as second-in-command to the VP, Deputy General Counsel – AMC
  • Partner with leadership teams across functions such as sales and supply chain
  • Lead negotiation, drafting, and interpretation of complex commercial agreements
  • Advise on risk allocation and enforce contractual rights throughout the lifecycle of agreements
  • Support aerospace and defense operational matters ensuring compliance with government contracts
  • Provide practical guidance on commercial disputes and risk management
  • Collaborate with various teams on legal issues impacting operations and drive process improvements

Qualifications

  • Minimum 10 years of experience as a commercial lawyer with strong drafting skills and significant contracting responsibility
  • Juris Doctor (JD) from an accredited law school and active license to practice law in at least one U.S. jurisdiction
  • Experience supporting aerospace, defense, or government-facing manufacturing businesses
  • Understanding of government contracting ecosystem, including FAR/DFARS concepts and flow-downs
  • Experience advising on commercial matters including disputes and operational risks
  • Experience in publicly traded or highly regulated environments preferred
  • Demonstrated practical business acumen and excellent judgment

Desired Skills and Experience

  • Knowledge of FAR, DFARS, and EHS compliance regulations
  • Familiarity with CMMC compliance
  • Experience with Contract Management Systems (CMS) for managing contracts throughout their lifecycle
  • Proficiency with legal research platforms such as LexisNexis or Westlaw
  • Experience using team collaboration tools like Slack or Microsoft Teams
  • Knowledge of regulatory compliance software relevant to aerospace and defense regulations
