Overview
This role supports the payor contracting function by providing legal support throughout the full contract lifecycle, from negotiation to post-execution management. The position reports to the Senior Associate General Counsel, Payor Contracting, and involves developing expertise in Medicare Advantage contracting, value-based care arrangements, and healthcare regulatory requirements. It is suited for a transactional attorney with healthcare experience seeking to deepen payor contracting knowledge within an in-house legal team.
Responsibilities
Payor Contracting & Strategy
- Support negotiation of Medicare Advantage risk agreements, including financial terms, risk-bearing entity structures, DOFR allocations, and performance guarantees.
- Draft, review, and maintain payor contract templates; update language to reflect regulatory and market changes.
- Assist with attorney-to-attorney correspondence, escalations, disputes, and resolutions under senior counsel guidance.
- Monitor CMS regulatory developments and advise business partners on contract implications.
- Support preparation for Joint Operating Committee meetings, dispute notices, and payor communications.
- Coordinate with Finance, Contract Analysis, and other stakeholders to align negotiated terms with financial models.
- Manage payor contract interpretation, amendments, renewals, notices, reconciliations, and ongoing contract matters.
Vendor Contracting
- Draft, review, and negotiate commercial vendor and third-party agreements including technology, SaaS, professional services, consulting, data and analytics, clinical services, business associate, licensing, and supply agreements.
- Collaborate with IT, Information Security, Privacy, Finance, Compliance, and business owners to ensure contracts meet legal, regulatory, security, and operational requirements.
- Support development and maintenance of standard vendor contract templates, playbooks, and negotiation guidelines.
Additional Contracting & Cross-Functional Support
- Opportunity to contribute to physician and partner agreements, including employee lease agreements, medical leadership agreements, reimbursement arrangements, and program incentive agreements.
- Support ACO program contracting such as MSSP and LEAD managed care services agreements, participating provider agreements, and partner participation agreements.
- Assist with clinical program agreements, co-management arrangements, and other provider-facing contracts.
General Legal Support & Cross-Functional Partnership
- Research federal and state legal developments affecting markets and contracts; provide analysis to senior legal staff and business stakeholders.
- Translate legal, regulatory, financial, and operational risks into practical guidance for business decisions.
- Support legal advisory roles in risk adjustment, data sharing, and regulatory compliance intersecting with contracting.
- Partner across Legal, Compliance, Finance, Operations, and Market teams in a matrixed environment.
- Perform other duties and support projects as assigned.
Requirements
Minimum Experience
- At least 5 years of relevant transactional legal experience in law firm, in-house, or both.
- Some experience or exposure to healthcare payor contracting, value-based care arrangements, or complex risk-based healthcare agreements.
- Foundational knowledge of Value-Based Care, Medicare Advantage Organizations, and healthcare fraud and abuse laws.
- Ability to draft and negotiate agreements, provide clear advice in complex situations, and build relationships across stakeholders.
- Demonstrated initiative, independence, sound judgment, and proactive work style.
- Ability to identify and articulate legal and business risks to support informed decision-making.
- Effective cross-functional collaboration skills in a matrixed organization.
Preferred Qualifications
- Prior in-house healthcare experience, especially in value-based care, managed care, or payor-facing roles.
- Knowledge of ACO REACH/LEAD, MSSP, or other federal healthcare program structures.
- Experience with vendor or commercial contracting, including technology, SaaS, or data agreements.
- Familiarity with contract lifecycle management systems or contracting process improvement initiatives.
Education and Licensure
- Juris Doctor degree from an accredited law school.
- Active license and good standing to practice law in at least one U.S. jurisdiction.
Travel
- Periodic business travel may be required for company, legal, or business meetings.
Compensation & Benefits
- Salary range: $129,700.00 - $162,100.00
- Salary is a guideline; individual compensation varies based on skills, experience, and qualifications.
