Overview

This is a full-time remote legal counsel position focused on risk management and corporate transactions. Candidates near the organization's offices may choose a hybrid schedule (in-office Tuesdays and Wednesdays). Occasional travel for business purposes is required.

The legal team supports the organization by managing legal risks, ensuring compliance with privacy obligations, and providing counsel on litigation, intellectual property, contracts, employment law, governance, and acquisitions.

Responsibilities

  • Lead and coordinate legal due diligence for mergers and acquisitions from initiation through closing.
  • Develop and maintain diligence trackers to monitor legal risks.
  • Draft, review, and negotiate transaction documents under supervision.
  • Identify material legal issues and recommend positions.
  • Manage relationships with outside counsel and control associated costs.
  • Create M&A playbooks and templates to streamline future transactions.
  • Manage and expand the portfolio of revenue contracts, including drafting, negotiating, and managing customer and vendor agreements.
  • Develop reusable contract templates to reduce cycle time and legal risk.
  • Identify and address gaps in legal processes, templates, and documentation.
  • Support scaling of the legal function in line with acquisition activity.
  • Handle additional legal matters as assigned by the General Counsel.

Requirements

  • Experience in corporate law at a mid to large-sized law firm, primarily focused on M&A matters.
  • Proven ability to coordinate and lead deal diligence.
  • Experience drafting and negotiating deal documents.
  • J.D. from an ABA-accredited law school.
  • Active bar membership in good standing.
  • Strong project management skills with the ability to manage multiple workstreams and communicate clearly to non-lawyers.
  • Excellent written and verbal communication skills.
  • Collaborative working style, able to partner closely with General Counsel, finance, business development, and acquired company teams.
  • Authorization to work in the United States.

Preferred Qualifications

  • In-house transactional experience following law firm training.
  • Experience with non-profit law.
  • Ability to thrive in ambiguous, fast-paced environments.
  • Initiative and capacity to operate as a trusted legal advisor rather than solely a drafter.

Compensation & Benefits

  • Salary range: $184,000–$245,000, adjusted based on location, experience, and qualifications.
