Overview
The Associate General Counsel provides legal advice regarding the organization's rights, obligations, and privileges. This role involves reviewing and ensuring compliance with relevant laws, advising management, drafting and negotiating complex contracts, interpreting applicable laws and regulations, managing outside counsel, and supporting internal teams on product-related legal matters.
Responsibilities
- Review, advise, and ensure compliance with laws relevant to key business areas in coordination with internal subject matter experts and external counsel as needed
- Provide strategic legal advice to management teams
- Draft, review, assess, negotiate, and verify accuracy of complex contracts including purchases, customer contracts, statements of work (SOW), master service agreements (MSA), vendor contracts, with emphasis on licensing agreements
- Interpret laws, rulings, and regulations applicable to the organization
- Engage and manage outside legal counsel for specialized legal and policy advice
- Act as the organization's agent in various transactions and provide dispute management support
- Advise internal teams on legal aspects of company products
- Supervise one or more full-time equivalent employees or contractors, including hiring, training, performance appraisal, and conflict resolution
Requirements
- Juris Doctor (JD) degree
- Active State Bar License
- Minimum of nine years of legal experience, including at least four years in-house experience in education, corporate, and contract law
- Experience with privacy, mergers and acquisitions (M&A), and licensing
- Strong interpersonal, leadership, negotiation, and consulting skills
- Excellent organizational skills with the ability to manage multiple high-priority projects with attention to detail
- Excellent oral and written communication skills
- Strong research, analytical, and problem-solving abilities
- Proficiency with Microsoft Office suite (Outlook, Word, Excel, PowerPoint, Project, Visio) and web applications
- Ability to travel up to 10% of the time
- Ability to pass a required background check
