Overview
A music technology, distribution, and marketing company based in Tampa, Florida, with a global presence including New York City and Nashville, is seeking a Business and Legal Affairs Associate. This remote role reports to the Director of Business and Legal Affairs and supports the Legal Team by managing contract frameworks and agreements related to digital distribution and custom client deals.
Responsibilities
- Draft and update contract templates for digital distribution, licensing, and custom client/partner agreements.
- Review, redline, and assist in negotiating digital distribution agreements and related contracts, escalating complex or high-risk issues.
- Collaborate with internal teams to align contracts with business needs.
- Manage legal workflows and contract lifecycle updates using project management tools (primarily Monday.com).
- Track contract project statuses and provide timely updates to the Director and relevant teams.
- Conduct entity verification and KYC/KYB diligence, including sanctions/PEP screening and identity verification, summarizing findings.
- Assist Legal and Finance teams with deal diligence, including vetting contracting parties and client information.
- Support general legal and operational initiatives such as research, documentation, and compliance.
- Ensure consistency in legal language and formatting across documents.
- Maintain organized records of contract templates, revisions, and executed agreements.
- Research and analyze legal and industry trends related to operations, contracting, copyright, and compliance.
- Communicate legal policies and procedures to internal stakeholders.
- Provide support on escalated legal matters.
- Regularly brief the Director on contracting activities.
- Complete additional projects as assigned by the Business and Legal Affairs Team.
Requirements
- Bachelor's degree required; J.D., paralegal certificate, or equivalent legal training strongly preferred.
- J.D. with relevant internship or work experience, or 3-5 years post-graduate experience in business and legal affairs, contracts, or transactional roles.
- Experience in music, entertainment, or technology sectors preferred but not required.
- Proficiency with contract/project management platforms such as Monday.com, Dropbox, Google Workspace, and HubSpot.
- Strong written and verbal communication skills.
- Highly organized with exceptional attention to detail.
- Effective time management skills with ability to handle multiple tasks and meet deadlines.
- Self-motivated with strong initiative.
- Ability to work in a high-volume, detail-oriented environment and take ownership of workload.
- Coachable and confident, able to receive feedback and iterate quickly.
- Enthusiasm for continuous learning and becoming a knowledge resource.
- Ability to fully engage and integrate with a remote team.
- High ethical standards and ability to maintain confidentiality.
Preferred Qualifications
- Fluency in Spanish and/or Portuguese is a plus.
- Familiarity with music licensing, intellectual property, and digital distribution.
- Interest in contracting, IP rights, licensing, copyright law, and emerging topics such as AI regulation.
- Passion for legal aspects of independent music distribution.
Additional Preferred Experience
- At least one year drafting distribution agreements and music licensing contracts.
- Experience collaborating with Deal, Sales, and Finance teams.
- Proactive attitude and willingness to handle tasks beyond core expertise.
Compensation & Location
- This is a remote position with the expectation that the candidate resides in the location of hire.
- Candidates must currently reside in New York or Pennsylvania.
- Compensation is determined based on the states of New York and Pennsylvania.
- Minimal travel may be required.
