Overview
A growing, entrepreneurial business law firm is seeking an experienced Senior Transactional Business Attorney to join its expanding team. This fully remote position requires active bar admission in both New York and New Jersey. The role involves working directly with business owners, founders, and executives on sophisticated corporate transactions within a collaborative, client-focused practice.
Responsibilities
- Advise business owners on strategic corporate and transactional matters
- Structure, negotiate, and close mergers and acquisitions
- Draft and negotiate operating agreements, shareholder agreements, and other governance documents
- Counsel startups and growth-stage companies on venture financings, including SAFEs, Convertible Notes, and Preferred Equity financing
- Advise clients on Delaware corporate law and governance
- Structure and negotiate investor, founder, and joint venture agreements
- Counsel clients on private securities offerings and capital raises
- Partner closely with clients to provide practical, business-focused legal solutions
Requirements
- J.D. from an accredited law school
- Active bar admission in both New York and New Jersey
- Five or more years of experience in corporate and transactional law
- Strong experience with:
- Mergers & Acquisitions
- Corporate governance
- Delaware corporate law
- Venture and growth-stage financing
- Securities compliance for private offerings
- Founder and investor agreements
- Joint ventures
- Exceptional drafting, negotiation, and communication skills
- A collaborative, client-first approach with strong attention to detail
