Overview
A growing nonprofit fundraising and CRM platform is seeking a Commercial & Product Counsel to lead the commercial contracting function and act as a trusted legal partner across the organization. This role involves managing vendor agreements, customer contracts, partnership deals, and product-related legal questions with autonomy and speed. The position supports the General Counsel by handling day-to-day contracting and legal operations, enabling strategic leadership.
Responsibilities
Commercial Contracting
- Lead negotiation, redlining, and closing of inbound vendor agreements including SaaS, data processing agreements, NDAs, professional services, and licensing contracts.
- Own outbound customer and sales contracts, including enterprise customer terms and service agreements.
- Develop and maintain contracting infrastructure such as templates, playbooks, fallback language, approval workflows, and self-serve tools to reduce legal bottlenecks.
- Implement and optimize AI-powered legal workflows for contract review, clause analysis, and negotiation support.
- Manage contract lifecycle from intake through execution, tracking obligations, renewal dates, and key terms.
Partnerships
- Support the General Counsel on strategic partnership agreements including payment processor relationships, platform integrations, and channel partnerships.
- Draft and negotiate ancillary partnership documents, amendments, and operational terms.
Product Counseling & Compliance Support
- Provide day-to-day legal advice to product teams, identifying legal risks in product specifications and advising on compliance-by-design for new features, payment flows, and data practices.
- Assist with regulatory filings, licensing questions, privacy compliance, and consumer protection issues.
- Review marketing materials, competitive positioning, and customer-facing disclosures for legal risk.
Corporate & General Support
- Assist the General Counsel with corporate governance, equity matters, and board-level projects.
- Support management of claims, demand letters, and escalated customer disputes.
- Contribute to building legal team processes, documentation, and institutional knowledge.
Requirements
- Juris Doctor (J.D.) degree and active bar membership in at least one U.S. jurisdiction.
- 5–7 years of legal experience, including significant in-house experience at a growth-stage fintech company; experience in payments or fundraising platforms preferred.
- Extensive experience negotiating high-volume commercial contracts across SaaS, vendor, customer, and data processing contexts.
- Proven ability to build contracting processes, including templates, playbooks, fallback language, approval workflows, and self-serve tools.
- Hands-on experience using AI-powered legal tools for contract review and negotiation.
- Strong product counseling skills with the ability to identify legal issues in product specs and propose practical solutions.
- Ability to operate independently at high speed, managing workload and exercising sound judgment.
- Excellent communication skills with non-legal stakeholders such as sales, product, finance, operations, and leadership.
- Understanding of the importance of reputation for a platform trusted by nonprofits.
Preferred Qualifications
- Experience working with AI agents and agentic workflows in legal operations.
- Background in fintech, payments, or nonprofit fundraising technology.
Compensation & Benefits
- Salary range: $170,000 - $185,000 annually.
