Overview
This role supports a high-volume commercial contracting practice. The attorney will handle day-to-day review, drafting, negotiation, and matter-management for vendor and merchant agreement workstreams, and may also support broader corporate and commercial legal needs.
The position is best suited to an attorney who can manage a substantial contract pipeline, apply established templates and playbooks thoughtfully, identify deviations from approved positions, and communicate clearly with business stakeholders and senior legal leadership.
Responsibilities
- Review, draft, negotiate, and manage commercial agreements and related documentation.
- Support vendor-side contracting, including:
- Master services agreements
- Statements of work
- Order forms
- Software and SaaS agreements
- Renewals, amendments, and terminations
- Support merchant-side matters, including:
- Commercial agreements and amendments
- Commercial-term negotiations
- Internal approval coordination
- Matters involving payment-processing and merchant-acquiring issues
- Use approved templates, fallback positions, and playbooks; escalate non-standard, higher-risk, or complex matters promptly.
- Coordinate with internal stakeholders on intake, priorities, approvals, negotiation status, and closing requirements.
- Maintain accurate matter records and contribute to reporting on volume, status, turnaround times, and recurring issues.
- Help improve contracting processes, templates, playbooks, and knowledge-management resources.
- Provide additional corporate and commercial legal support as business needs require.
Requirements
- 4+ years of relevant commercial contracting experience, preferably in-house, at a law firm, or supporting technology, financial services, payments, SaaS, or regulated commercial businesses.
- Demonstrated experience drafting and negotiating complex commercial agreements.
- Strong understanding of commercial contracting issues, including services, technology, software/SaaS, vendor, and merchant arrangements.

Technical Skills
- Experience with Microsoft products such as Excel, Word, PowerPoint, and SharePoint.

Qualifications
- J.D. from an accredited law school.
- Licensed to practice law and in good standing in at least one U.S. jurisdiction.
Compensation & Benefits
- US national salary range: $120,000-150,000, based on job-related skills, experience, level, and location.
