Overview
A healthcare-focused organization is seeking a Commercial Attorney with 3 to 5 years of experience in reviewing, drafting, and negotiating a broad range of commercial agreements. This role reports to the Deputy General Counsel and serves as a primary legal resource for contract matters across the organization. The position requires a customer service orientation, collaborative teamwork, and the ability to drive negotiations to completion with clients, vendors, and business partners. Experience with pharmaceutical manufacturers, health insurance companies, healthcare providers, and technology vendors is highly desirable.
Responsibilities
- Review, draft, and negotiate various commercial agreements including master services agreements, statements of work, SaaS and IT service provider agreements, vendor agreements, non-disclosure agreements, business associate agreements, and regulatory/compliance addendums and amendments.
- Manage end-to-end contract negotiations independently, from initial redline to execution, ensuring timely completion.
- Advise internal stakeholders on contract terms, legal risks, and negotiation strategies, translating complex legal concepts into clear guidance for non-legal audiences.
- Collaborate with cross-functional teams such as sales, finance, accounting, operations, IT, and human resources to support business objectives and ensure alignment on contractual commitments.
- Maintain and improve contract templates, playbooks, and standard fallback positions to enhance consistency and efficiency.
- Support contract lifecycle management including tracking milestones, renewals, and compliance obligations.
- Identify and escalate legal and compliance issues, particularly those related to healthcare and technology regulatory frameworks, coordinating with subject matter experts as needed.
- Stay current on developments in contract law, healthcare regulations, and technology contracting best practices relevant to the business.
Requirements
- Juris Doctor (JD) degree from an accredited law school and admission to the Bar in a U.S. jurisdiction.
- 3 to 5 years of experience reviewing, drafting, and negotiating commercial contracts, either in-house or at a law firm.
- Experience in healthcare and/or technology industries is strongly preferred.
- Proven ability to independently manage and complete commercial negotiations with clients and vendors.
- Experience negotiating agreements with pharmaceutical manufacturers, health insurance companies, or healthcare providers is a plus.
- Excellent analytical, drafting, and communication skills with the ability to convey legal concepts and risks clearly to non-legal stakeholders.
- Self-motivated with strong organizational skills to manage multiple concurrent matters, set priorities, and meet deadlines in a fast-paced environment with minimal supervision.
- Customer service-oriented with a practical, business-friendly approach to legal problem-solving.
- Collaborative team player who works effectively across various corporate functions.
- High attention to detail and commitment to accuracy in contract drafting and review.
- Proficiency with contract management systems, AI tools, and standard business productivity software.
