Overview

This role is a fully remote, part-time in-house commercial contracts attorney engagement supporting an emerging healthcare SaaS organization.

Work will focus on professionalizing the organization’s contracting and compliance approaches. Responsibilities primarily involve reviewing and improving contracting templates, playbooks, and related systems, with support for incoming contracts on an as-needed basis.

Matters may include agreements involving:

  • Protected health information (PHI)
  • Employee and other sensitive data
  • Artificial intelligence
  • Data privacy and security
  • Mission-critical technology systems

The attorney will work directly with the CEO and other internal stakeholders to understand business objectives, identify material legal and operational risks, and advise on structuring around those risks.

Responsibilities

  • Review and improve contracting templates, playbooks, and contracting systems
  • Draft, review, and negotiate technology and commercial agreements (including SaaS, software, licensing, services, and vendor agreements)
  • Advise on structuring to address material legal and operational risks
  • Support data privacy and security considerations in technology transactions
  • Negotiate agreements involving PHI and other sensitive or regulated data
  • Provide guidance on artificial intelligence agreements and AI-enabled product contracting when needed
  • Partner with technology and business stakeholders to provide clear, actionable legal advice
  • Optionally support compliance and systems in other areas aligned with the attorney’s expertise
  • Provide ongoing as-needed support for incoming contracts (optional, based on business needs)

Requirements

  • 5+ years of relevant commercial contracts and transactional experience
  • Significant experience drafting, reviewing, and negotiating sophisticated technology, SaaS, software, licensing, services, and vendor agreements
  • Meaningful experience with data privacy and security issues arising in technology transactions
  • Experience negotiating agreements involving protected health information (PHI) and other sensitive or regulated data
  • Healthcare industry experience strongly preferred
  • Experience with artificial intelligence agreements, AI-enabled products, and/or other emerging technologies strongly preferred
  • Ability to independently manage sophisticated contract negotiations and directly advise technology and business stakeholders
  • Practical understanding of commercial risk allocation, including distinguishing material legal and business risks from lower-priority contractual issues
  • Experience working with mission-critical enterprise technology systems is a plus
  • Corporate governance or employment experience is a plus
  • Prior in-house counsel experience strongly preferred
  • Excellent academic credentials from an ABA-accredited law school
  • Excellent analytical, written, verbal, and interpersonal skills
  • Licensed to practice law in at least one U.S. jurisdiction and eligible to practice in-house
  • Outstanding professional references

Preferred Qualifications

  • Healthcare industry experience
  • Experience with artificial intelligence agreements, AI-enabled products, and/or other emerging technologies
  • Experience working with mission-critical enterprise technology systems
  • Corporate governance or employment experience
  • Prior in-house counsel experience

Compensation & Benefits

  • Pay: Annualized pay for this position ranges from $170,000 to $210,000 or more when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference.
  • Benefits: Contract professionals are usually W2 employees and are eligible for full benefits when working in roles for 20 hours per week.

    • A qualified 401k plan is available.
    • Benefits-eligible attorneys receive a CLE and Professional Expense stipend.

Schedule & Duration

  • Type of role: Contract In-House Counsel Engagement
  • Schedule: Part-time / flexible; initial estimate is 10+ hours per week for a month or two, followed by optional ongoing support for new contracts
  • Duration: Initial engagement with potential for a long-term relationship based on business needs
