Overview
A high-growth fintech organization is seeking a Commercial Attorney to lead and elevate its commercial legal function. This role involves owning commercial contracting end to end, providing practical legal guidance to the business, and supporting the scaling of the legal function through modern tools including AI. The position reports to the Assistant General Counsel, Corporate & Commercial, and offers significant growth opportunities as the company continues to scale.
Responsibilities
- Structure, draft, negotiate, and advise on a broad range of commercial agreements including customer contracts, partnerships (including white-label), vendor and SaaS agreements, and NDAs.
- Serve as a trusted advisor to business teams by providing clear, practical legal guidance to facilitate deal execution.
- Identify when deals raise issues beyond commercial law (e.g., ERISA, fiduciary, investment adviser, privacy, securities, employment, consumer marketing, product) and coordinate with appropriate experts while maintaining ownership.
- Develop and execute strategies to scale the legal function, including leading contract lifecycle management (CLM) implementation, integrating AI and other tools, and creating templates, playbooks, and self-service resources.
- Collaborate with Product Counsel to support new and expanding products by advising on commercial terms and drafting foundational documentation such as terms of use.
- Take on additional corporate, governance, and other legal projects as needed.
Requirements
- Minimum 7 years of legal experience, including substantial in-house experience at a high-growth, fast-paced company, preferably one that has scaled rapidly.
- Strong commercial contracting background with experience drafting and negotiating a wide range of B2B and SaaS agreements.
- Proven ability to advise non-legal business teams in real time and translate legal conclusions into actionable guidance.
- Deep expertise in contracting, particularly in intellectual property, technology licensing, SaaS terms, and data rights.
- Admitted to the bar and in good standing, or otherwise authorized to practice law (e.g., registered in-house status) in any U.S. state.
- Comfortable and fluent in using AI tools for legal review, drafting, and negotiation, with eagerness to advance the use of AI within the legal function.
- Strong business acumen, sound judgment under pressure, excellent communication skills, attention to detail, and adaptability in a fast-changing environment.
Preferred Qualifications
- In-house legal experience in fintech or other highly regulated industries.
- Experience at a large, sophisticated startup or technology company known for strong legal practices.
Compensation & Benefits
- Base salary range: $190,000 - $215,000 annually, determined by geographic location within the U.S., relevant skills, and experience.
- Additional compensation may include bonuses, commissions, and equity.
