Overview

This is a fully remote opportunity for a Commercial Counsel role within a leading global provider of data-first contract lifecycle management (CLM) software. The organization supports end-to-end contract processes including proposing, negotiating, signing, and leveraging contracts through a flexible Data-first Agreement Platform (DAP). The platform integrates artificial intelligence and robust integration capabilities to deliver connected, intelligent, and autonomous contract lifecycle solutions.

Responsibilities

Contract Review and Negotiation

  • Review, draft, and negotiate a wide variety of commercial contracts for go-to-market teams
  • Review, draft, and negotiate agreements with vendors and suppliers
  • Collaborate with internal stakeholders to ensure contracts align with business objectives and risk tolerance

Support for Go-to-Market Teams

  • Work closely with internal clients to understand business needs and support their objectives
  • Provide clear, practical legal advice to sales, marketing, partners & alliances, and professional services teams
  • Proactively address legal and business risks to enable deal closures and foster strong internal partnerships

Collaboration and Process Improvement

  • Assist in creating and maintaining deal enablement tools such as agreement templates, playbooks, processes, and trainings
  • Partner with other legal team members and cross-functional teams on key projects and initiatives
  • Perform other duties as assigned

Requirements

  • Juris Doctor (JD) from an accredited law school
  • Admission to at least one state bar in good standing
  • Minimum 2-3 years of experience reviewing, drafting, and negotiating commercial contracts, preferably in technology, SaaS, or high-growth environments
  • Strong independent judgment and decision-making skills in a fast-paced, dynamic setting
  • Ability to provide pragmatic, solutions-oriented legal advice balancing legal risk and business objectives
  • Excellent communication and interpersonal skills with the ability to influence and collaborate across teams
  • Familiarity with privacy laws and regulations including GDPR, CPRA, and CCPA
  • Familiarity with U.S. federal government contracts is a plus

Preference is given to candidates located in the Pacific and Mountain Time Zones; candidates in the Central Time Zone who can work Pacific Time hours will also be considered.

Background checks will be conducted every 3 years or as needed.

Location

This is a fully remote position. Candidates should preferably be located in the Pacific or Mountain Time Zones, with consideration for Central Time Zone candidates willing to work Pacific Time hours.
