Overview
A fast-growing enterprise software company is seeking a Commercial Counsel to support go-to-market and revenue teams, primarily focusing on customer contracts and outbound commercial work. This role is ideal for a commercially minded lawyer who can help close deals, manage risk appropriately, and keep business operations moving efficiently.
Responsibilities
- Lead drafting, review, and negotiation of a high volume of customer-facing commercial agreements, including:
- SaaS agreements
- Master Service Agreements (MSAs)
- Order forms
- Data Processing Agreements (DPAs)
- Non-Disclosure Agreements (NDAs)
- Partner and reseller agreements
- Other outbound commercial contracts
- Collaborate closely with Sales, Revenue, Partnerships, Security, Procurement, and other business teams to support efficient deal execution
- Provide practical, business-forward legal and commercial risk advice to internal stakeholders
- Structure positions that support revenue goals while maintaining acceptable risk levels
- Negotiate inbound commercial contracts with vendors, partners, and service providers
- Develop and refine contract templates, fallback language, negotiation playbooks, and approval frameworks to accelerate deal cycles
- Identify recurring friction points in customer negotiations and improve contracting processes at a systems level
- Support questions related to privacy, data use, data protection, and product-related commercial issues arising in customer deals
- Collaborate with Product, Security, and compliance teams on contract terms involving product functionality, security commitments, AI, and data handling
- Contribute to scalable legal processes and enhance how legal supports business growth
Requirements
- 6 to 8+ years of relevant legal experience, preferably combining law firm and in-house roles
- Significant experience negotiating customer-facing commercial agreements, especially SaaS and enterprise software contracts
- Strong business judgment with the ability to balance legal risk, commercial priorities, and speed
- Ability to provide clear, concise advice enabling quick decision-making
- Excellent drafting and negotiation skills
- Comfortable working independently in a fast-paced environment with shifting priorities
- Ability to partner effectively with sales and business teams while maintaining sound legal judgment
- Practical problem-solving approach focused on enabling business rather than creating unnecessary processes
- Juris Doctor (J.D.) degree and active bar membership in at least one U.S. jurisdiction
Preferred Qualifications
- Experience advising on product counseling matters
- Knowledge of privacy and data protection issues, including commercial privacy questions and data processing terms
- Familiarity with U.S. privacy laws and global privacy frameworks relevant to customer contracting
- Experience with security review processes and security-related contract provisions
- Background in high-growth SaaS or enterprise software companies
- Experience supporting international commercial work
Compensation & Benefits
- Salary range: $161,500 - $236,250, determined based on factors such as location, experience, education, and skills
