Overview
A growing cybersecurity organization is seeking a Commercial Counsel to join their Legal team as the second attorney. This role reports to the Chief Legal Officer with a dotted line to the Vice President of Contracts. The position focuses primarily on commercial contracting and offers an opportunity to take on increasing responsibility and help shape the legal function as the business expands. The role also involves partnering closely with Legal Operations to build scalable infrastructure.
Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements, including master agreements with customers, reseller agreements, and data processing agreements.
- Manage complex negotiations with sophisticated enterprise customers and technology partners.
- Provide clear, practical, and solution-oriented legal guidance that enables business progress.
- Collaborate with the Director of Legal Operations to develop and maintain contract templates, standardized forms, negotiation playbooks, and fallback positions.
- Advise on data privacy and security terms embedded in commercial agreements, including cybersecurity-specific contractual requirements.
- Partner with internal security and compliance teams to ensure contractual commitments align with the organization's security posture.
Required Experience and Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active bar membership in good standing in at least one U.S. state.
- 3-8 years of relevant legal experience, preferably with in-house experience at a technology company.
- Demonstrated ability to independently draft and negotiate complex commercial agreements with minimal oversight.
- Experience supporting sales and go-to-market teams in a technology company environment.
- Business-oriented mindset with the ability to translate legal complexity into clear, actionable guidance.
- Excellent written and verbal communication skills; concise, direct, and audience-aware.
- Strong organizational skills with the ability to manage competing priorities independently.
- Comfortable operating remotely and asynchronously across time zones.
- Collaborative, team-first mindset.
Preferred Qualifications
- Exposure to AI-related contractual and regulatory issues.
- Prior experience at a cybersecurity company or reseller.
- Experience negotiating enterprise agreements with Fortune 500 legal and procurement counterparts.
- Familiarity with channel and partner agreements, including reseller and MSP structures.

Compensation and Benefits
- Primarily remote workforce (U.S. based only); some travel or on-site work may be required for certain positions.
