Overview
This role serves as the organization’s first full-time, in-house Commercial Counsel, owning day-to-day legal work across the commercial portfolio. The work sits at the intersection of health systems, pharmaceutical sponsors, patients, and evolving regulation—supporting commercial contracting and resolving regulatory, compliance, and product-classification questions related to building AI for healthcare.
Responsibilities
Commercial Contracting
- Act as the legal counterpart to the Commercial team across every commercial deal with health systems and life sciences partners.
- Own the organization’s positions on IP, data, and liability in every commercial agreement, and maintain those positions across counterparties.
- Lead legal review of value-based and outcomes-based commercial arrangements.
- Screen life sciences engagements for Anti-Kickback Statute risk and fair market value exposure prior to signature.
- Coordinate specialist judgment with external firms when a question requires it.
- Maintain oversight of contractual obligations across all signed agreements, ensuring commitments in one agreement remain tracked as the portfolio grows.
Compliance & Legal Operations
- Coordinate with outside counsel on commercial, regulatory, and compliance matters that require specialist support, including scoping and what remains in-house.
- Coordinate with outside regulatory counsel on specialist questions, including device and software as a medical device (SaMD) classification.
- Hold and apply the organization’s institutional positions on recurring regulatory and classification questions across engagements.
- Set standards for outside counsel work across scope, timeline, and cost, and hold firms accountable when deliverables do not meet expectations.
- Establish the process for how commercial legal work moves from intake through review to signature, including templates, standard positions on recurring terms, and thresholds for when deals require legal sign-off versus when the Commercial team can proceed on established language.
Required Qualifications
- JD and active bar membership.
- 7+ years of experience in a healthcare or life sciences legal role, including meaningful in-house experience at a company of similar stage.
- Experience negotiating enterprise contracts, including IP ownership, data use, and liability terms, with health systems, pharmaceutical companies, or comparable regulated counterparties.
- Experience navigating the Anti-Kickback Statute, fair market value, and data governance questions in a healthcare or life sciences context, including tracking compliance obligations across a portfolio of contracts.
- Experience coordinating multiple outside counsel relationships.
- Experience building legal infrastructure from scratch in a fast-moving startup.
Preferred Qualifications
- Experience spanning both health system and life sciences contracting.
- Experience with value-based or outcomes-based commercial models.
- Experience at a law firm serving healthcare or life sciences clients, with direct insight into appropriate cost and timeline for outside counsel work.
Compensation & Benefits
- Pay range: $225,000 to $275,000.
- Compensation will be determined based on level within this job category, and your skills, qualifications, experience, and location.
- This role is also eligible for equity and benefits.
