Overview

A rapidly growing biotechnology organization is seeking a self-motivated Commercial Contracts Counsel to support increasing business demands. This role involves managing a wide range of commercial agreements, including vendor, market access, and medical affairs contracts. The ideal candidate will have strong negotiation, contract drafting, and analytical skills, with prior in-house commercial contracts experience in the biotechnology or pharmaceutical industry.

Responsibilities

  • Draft, negotiate, and manage a high volume and variety of contracts such as master service agreements, statements of work, amendments, distribution agreements, and data agreements
  • Evaluate legal and contractual risks and escalate issues according to company policies
  • Provide practical, solution-oriented legal support to global commercial, North America commercial, medical affairs, and other business functions
  • Ensure contract terms comply with applicable laws and regulations and accurately reflect organizational intent and strategy
  • Train and educate business teams on contract templates, playbooks, relevant legal issues, and contracting best practices
  • Assist in implementing new contract policies and procedures
  • Lead and participate in special projects and drive organizational change as needed
  • Collaborate cross-functionally to develop contracting approaches for new business strategies
  • Conduct legal research on commercial law, regulations, and jurisdiction-specific contract matters to support negotiations and business decisions
  • Perform other duties as assigned

Requirements

  • Juris Doctor (J.D.) degree from a U.S. law school
  • Current good standing admission to at least one U.S. state bar
  • Minimum of 3 years of in-house or law firm experience focused on commercial contracts within biotechnology, pharmaceutical, or life sciences sectors
  • Demonstrated experience negotiating and drafting a broad range of commercial agreements
  • Excellent drafting, negotiation, communication, analytical, and problem-solving skills
  • Ability to meet deadlines and work across global time zones
  • Working knowledge of healthcare laws including the Anti-Kickback Statute, False Claims Act, pharmaceutical and life sciences regulations, and other relevant laws
  • Ability to interpret and apply legal knowledge to inform business activities and contract positions
  • Strong collaboration skills and ability to work independently in a fast-paced, deadline-driven environment
  • Detail-oriented with the ability to handle confidential and proprietary information with discretion
  • Self-motivated, reliable, responsive, and flexible to accept new responsibilities

Preferred Qualifications

  • Experience working with global commercial and medical affairs teams
  • Ability to train and educate business functions on contracting practices
  • Experience leading special projects and driving organizational change

Compensation & Benefits

  • Salary range: $120,800 to $160,800 annually (base salary only)
  • Eligibility for incentive compensation plans for commercial roles

Compensation packages are determined based on job-related skills, experience, certifications, education, and work location. Packages may vary due to cost of labor differences.
