Overview
A growing technology company is seeking a Commercial Counsel to join their legal team during a significant growth phase. This role involves supporting go-to-market teams with commercial contracts, driving revenue through deal execution, and scaling legal operations with innovative technology solutions. Responsibilities
- Review, draft, and negotiate customer NDAs, MSAs, Order Forms, and Data Processing Agreements with a focus on speed, commercial pragmatism, and scalability.
- Serve as a responsive and reliable partner to sales and other internal stakeholders.
- Develop contract playbooks, fallback positions, and negotiation guidance materials to support scalable commercial contracting.
- Collaborate with security, IT, and product teams to respond to prospect and customer questionnaires accurately and promptly.
- Review and negotiate vendor agreements in partnership with business owners and cross-functional teams, meeting service level agreements.
- Own and improve legal operations through new workflows, technology, and tools relevant to contract management and sales enablement, including CLM and CPQ tools.
- Contribute to broader in-house legal work such as employment matters, intellectual property, corporate governance, and drafting internal and external guidance materials.
- Coordinate with external counsel as needed.
- Identify and escalate legal issues appropriately.
Qualifications
- Juris Doctor (JD) from an accredited law school and active license to practice law in the US or equivalent jurisdiction.
- 4-6 years of legal experience, ideally combining law firm training with in-house experience at a fast-growing company.
- Strong experience in commercial contract negotiation on both customer and vendor sides, directly contributing to revenue growth.
- Excellent interpersonal skills with a genuine interest in working closely with sales teams and building trusted relationships.
- Good judgment balancing legal risk with business objectives.
- Clear and concise communication skills, able to explain legal concepts plainly and develop enablement materials.
- Highly organized with the ability to manage multiple deals and priorities simultaneously.
Preferred Qualifications
- Prior experience as an early legal hire in a fast-growing SaaS, technology, or AI company.
- Familiarity with SaaS business models and standard SaaS contract terms.
- Strong knowledge of privacy and data protection frameworks such as DPAs, GDPR, and CCPA.
- Experience building or scaling contract operations, including implementing legal technology tools.
