Overview

A legal team is seeking a Commercial Counsel to support the delivery of legal services to internal clients and strategic partners. This role focuses on supporting the Growth team by managing contracts and customer negotiations throughout the full commercial legal lifecycle. The position involves close collaboration with Legal, Finance, Product, Sales, and other internal stakeholders. Reporting to the Deputy General Counsel and General Counsel, the role provides legal advice, implements best practices, and mitigates risks while maintaining high ethical standards. This opportunity offers exposure to various legal areas and the chance to shape commercial processes and strategies.

Responsibilities

  • Provide transactional and commercial legal counsel supporting the company’s product offerings to health insurer customers and commercial partners
  • Lead commercial contracting efforts by drafting, reviewing, and negotiating a variety of agreements, including customer contracts, vendor agreements, marketing agreements, partnerships, licensing deals, NDAs, and SaaS agreements, with a primary focus on enterprise sales transactions
  • Develop and maintain commercial legal infrastructure such as contract templates, playbooks, policies, and process improvements to enhance efficiency and risk management
  • Collaborate with Sales, Product, Operations, and HR teams to provide clear, practical, and solution-oriented legal guidance that supports business objectives
  • Partner with internal teams on AI and data usage and governance matters
  • Identify and escalate legal risks appropriately while supporting business momentum
  • Stay informed on legal developments related to AI and other technologies relevant to the company’s products
  • Support contracting strategies for new product launches
  • Proactively identify and address legal risks as the business scales internationally and expands partnerships
  • Assist Deputy General Counsel and General Counsel with mergers and acquisitions activities
  • Support corporate governance and intellectual property protection efforts

Requirements

  • J.D. from an accredited law school and active bar membership in good standing
  • 3–5 years of corporate legal experience, including both law firm and in-house roles; health tech experience is a plus
  • Proven ability to manage diverse legal matters and balance risk with business objectives
  • Strong experience drafting and negotiating commercial contracts, especially in the technology sector
  • Excellent verbal and written communication skills, capable of translating complex legal concepts into clear, practical advice
  • Proactive and solutions-oriented approach to legal challenges
  • Experience working cross-functionally and building trusted relationships with stakeholders at all levels
  • Strong business acumen and ability to operate effectively in a fast-paced, results-driven environment
  • Comfortable navigating ambiguity, shifting priorities, and evolving processes
  • High level of ownership, intellectual curiosity, and attention to detail
  • Ability to think independently, explore creative solutions, and recommend viable paths forward while managing risk and compliance
  • Strong organizational and time-management skills to handle multiple priorities simultaneously
  • Team-oriented mindset with willingness to engage in tasks of varying scope
  • Familiarity with healthcare laws and regulations (e.g., HIPAA, Medicare, Medicaid) and exposure to cloud technologies or AI is advantageous
  • Integrity, humility, and a collaborative spirit

Compensation & Benefits

  • Salary range: $120,000 to $190,000 annually, part of a total benefits package including health insurance, 401(k) with company match, and bonus

This is a fully remote opportunity with occasional travel required (about 10%).
