Overview
A global technology consulting organization specializing in the ServiceNow platform is seeking an experienced Corporate Counsel for a freelance, part-time role. The company has nearly two decades of experience delivering enterprise ServiceNow consulting, solution architecture, implementation, application development, AI-powered solutions, integrations, and managed services. The team supports enterprise customers across North America and Europe.
Responsibilities
- Draft, review, negotiate, and manage Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), Professional Services Agreements, SaaS Agreements, Vendor and Partner Agreements.
- Review customer agreements related to ServiceNow consulting, implementation, managed services, support services, and strategic partnerships.
- Provide legal advice to executive leadership and business teams.
- Support contract negotiations with customers, partners, and vendors.
- Advise on corporate governance, intellectual property, software licensing, employment, and privacy matters.
- Develop contract templates, legal playbooks, and internal policies.
Requirements
- Licensed to practice law in the United States or Canada.
- Minimum 5 years of experience in corporate, commercial, or technology law.
- Experience supporting SaaS, enterprise software, IT consulting, managed services, or technology companies.
- Strong skills in drafting, reviewing, and negotiating commercial agreements.
- Familiarity with technology consulting or SaaS companies, including negotiating MSAs, SOWs, software licensing, and customer agreements.
- Knowledge of commercial law, corporate governance, employment law, and privacy regulations.
- Ability to work independently in a remote freelance environment.
Preferred Qualifications
- Experience supporting AI, cloud, or digital transformation companies.
- Experience with international commercial transactions.
- Experience developing contract templates and legal playbooks.
- Previous experience supporting a ServiceNow Partner or ServiceNow consulting company is a plus.
