Overview

A clinical AI company focused on delivering continuous, proactive care for older adults with chronic conditions is seeking a Commercial Contracts Attorney. This role involves managing and scaling the contracting function across health system partnerships and vendor relationships, ensuring agreements support rapid growth while maintaining compliance with healthcare regulatory requirements.

Responsibilities

  • Manage the full lifecycle of commercial contracts, including drafting, reviewing, negotiating, and closing agreements with health systems and other partners.
  • Oversee all vendor contracts and third-party relationships, including SaaS agreements, service contracts, licensing agreements, data processing agreements, and other procurement-related contracts.
  • Collaborate with finance, security, and compliance teams to evaluate and enable vendor relationships, ensuring third parties meet operational, regulatory, and information security standards.
  • Develop and maintain contracting playbooks and templates to enable sales and procurement teams to move quickly while protecting organizational interests.
  • Manage the existing contract portfolio, including amendments, renewals, and partner and vendor inquiries, ensuring obligations are tracked and met.
  • Advise internal stakeholders on healthcare regulatory considerations in deal structures, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties, and state licensure requirements.
  • Work with sales, partnerships, finance, and clinical operations to structure deals aligned with service lines and Medicare reimbursement frameworks.

Requirements

  • Minimum 5 years of experience handling commercial contracts in-house and/or at a law firm, preferably with healthcare or life sciences experience.
  • Experience on both the sell-side (customer/partner agreements) and buy-side (vendor/procurement contracts) preferred.
  • Working knowledge of federal and state healthcare regulations, including the Anti-Kickback Statute, Stark Law, Civil Monetary Penalties Law, and clinical licensure and scope-of-practice requirements.
  • Experience with HIPAA and privacy law is a plus.
  • Experience contracting with payers is a plus.
  • Proven experience building or improving contracting processes, including playbooks, clause libraries, or template suites supporting scaling organizations.
  • Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. jurisdiction.
  • Ability to thrive in high-velocity, mission-driven environments and independently own the contracting function.
  • Fluency with AI research and productivity tools, with the ability to critically evaluate AI-driven insights.

Compensation & Benefits

  • Base salary typically ranges between $180,000 – $220,000, depending on experience, skills, seniority, and business needs.
  • Potential eligibility for equity as part of the total compensation package.
