Overview

This is a fully remote position based in the United States for a Commercial Counsel role. The organization is seeking a transactional attorney with a strong commercial background who is ready to take ownership and contribute directly to business growth. This role offers a seat at the table rather than a traditional legal support function.

You will be the second attorney in the legal team, working closely with the General Counsel to scale the legal infrastructure. The role involves partnering across multiple departments including Sales, Customer Success, Product, Engineering, Marketing, and People Operations to support fast-paced deal-making and complex legal questions.

Responsibilities

  • Serve as the primary legal contact across the company, triaging and resolving legal questions or escalating to the General Counsel as needed.
  • Own the contracting process end-to-end, including drafting and negotiating a variety of agreements such as Master Service Agreements (MSAs), Business Associate Agreements (BAAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), Independent Contractor Agreements (ICAs), and Order Forms.
  • Develop and maintain legal systems, processes, and programs to enable efficient scaling and compliance, continuously improving workflows and exploring AI tooling and platform enhancements.
  • Manage relationships with outside counsel on specialized legal matters, providing context and implementing their guidance.
  • Monitor and interpret the evolving legal and regulatory landscape affecting the business, including healthcare data, price transparency, AI governance, and privacy, translating changes into actionable guidance.
  • Support government affairs and policy engagement as the organization’s market presence grows.
  • Enhance the legal team’s visibility and credibility through clear communication, internal guides, playbooks, and educational initiatives.
  • Assist with board governance and corporate policy, including maintaining records, preparing consents and minutes, and supporting board materials.

Requirements

  • Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. state.
  • 4-7 years of transactional legal experience with a significant focus on commercial contracts, gained at a law firm, in-house, or both.
  • Strong knowledge of SaaS and data licensing agreements; experience negotiating with enterprise buyers is advantageous.
  • Familiarity with healthcare-related regulatory frameworks such as HIPAA, the No Surprises Act, and CMS price transparency is preferred, or a strong willingness to learn quickly.
  • Ability to provide practical, decision-enabling legal guidance rather than overly cautious advice.
  • Low ego, high ownership, and enthusiasm for varied and complex work.
  • Intellectual curiosity and adaptability with a desire to understand the business deeply.
  • Confidence to operate independently as the sole legal representative in meetings, with the humility to acknowledge when further research is needed.
  • Experience using AI tools such as Claude and ChatGPT; responsibility for legal oversight of AI tool use, policies, and contract provisions.

Preferred Qualifications

  • Hands-on experience with contract lifecycle management (CLM) platforms like Ironclad.
  • Background in managed care, payer/provider/employer relations, data commercialization, or consumer payments.
  • Basic knowledge of intellectual property, including trademarks and patents, or experience working with IP outside counsel.

Compensation & Benefits

  • Salary range: $160,000 to $190,000 annually.

  • Fully remote within the United States, operating on U.S. business hours.
