Overview

This role supports the organization’s commercial growth as an early career Commercial Counsel. You’ll join a small legal team working alongside two senior attorneys and reporting to the Head of Legal. The position is remote-based in the continental US, with a strong preference for candidates in the Eastern or Central time zones.

You will own and drive customer and procurement contracting, drafting and negotiating agreements while partnering closely with GTM, Deal Desk, Engineering, Product, and other stakeholders to keep deals moving while managing risk.

Responsibilities

  • Draft, review, and negotiate commercial agreements, including:
    • NDAs, MSAs, order forms, vendor agreements
    • Reseller and partner agreements
    • Public sector contracts
  • Manage a steady volume of deals independently, performing review at key decision points and escalating matters to Senior Counsels as needed
  • Serve as a day-to-day legal partner, balancing risk with business objectives
  • Apply and maintain contract templates and negotiation playbooks; recommend improvements when recurring friction is identified
  • Research and apply evolving legal and regulatory frameworks across AI, hardware, data privacy, and government contracting, escalating when interpretation is unsettled
  • Support international transactions and cross-border data issues in coordination with senior counsel
  • Support hardware sales and as-a-service deals
  • Coordinate with outside counsel on assigned matters, including scoping requests, tracking progress, and summarizing outcomes for internal stakeholders
  • Build strong working relationships across functions and adapt communication for non-legal audiences
  • Maintain accurate contract records in the organization’s CLM and support reporting on deal cycle times and recurring negotiation issues

Requirements

  • JD from an accredited law school and active membership in good standing with at least one US state bar
  • 3+ years of combined law firm and in-house experience supporting commercial transactions
  • 2+ years of in-house experience at a B2B technology company (software, hardware, AI, or infrastructure)
  • Demonstrated ability to run commercial negotiations independently and close on schedule
  • Sound legal judgment paired with practical business sense
  • Excellent written and verbal communication and strong stakeholder management skills

Preferred Qualifications

  • Exposure to public sector or government contracting
  • Familiarity with AI, GPUaaS, hardware, or data center infrastructure
  • Experience with direct or indirect procurement, supply chain, or logistics contracts
  • Experience with export controls (EAR/ITAR) or international commercial transactions
  • Experience with a CLM platform such as Ironclad
  • Experience in a fast-paced, early-stage or high-growth environment
  • Experience or interest in legal operations (e.g., intake workflows, playbooks, templates, or AI agents/tools) to help a small team scale

Compensation & Benefits

Compensation (US): $135,200 – $169,000 USD

Additional details:

  • Starting base salary range varies based on location, experience, skills, and qualifications, using a geographic pay structure:
    • Tier 1 (e.g., SF Bay Area, NYC, Seattle): $155,480 – $194,350
    • Tier 2 (most U.S. metro areas): $135,200 – $169,000
    • Tier 3 (other cities): $128,440 – $160,550
  • Final compensation will be determined by experience, scope, and level, and may vary from the posted range.
  • In addition to base salary, this role may include equity and subsidized benefits (details available upon request).
