Overview

A partner organization is seeking a Commercial Counsel based in the United States to support a fast-growing technology-focused company. This role offers an opportunity for a business-minded legal professional to lead complex commercial contracting matters, provide practical legal guidance, and collaborate closely with stakeholders across sales, operations, compliance, and leadership. The position involves hands-on contract negotiation combined with strategic legal advisory responsibilities, requiring strong legal expertise and commercial acumen.

Responsibilities

  • Draft, review, negotiate, and manage a wide range of commercial agreements, including customer contracts, reseller agreements, data processing agreements, and technology partnerships
  • Lead complex contract negotiations with enterprise customers, procurement teams, legal counterparts, and strategic partners
  • Provide practical, business-oriented legal advice balancing risk management with commercial objectives
  • Partner with internal stakeholders to support sales and go-to-market initiatives and facilitate efficient deal execution
  • Advise on privacy, cybersecurity, and data protection provisions within commercial agreements
  • Collaborate with security, compliance, and operational teams to align contractual obligations with organizational policies
  • Develop, maintain, and improve contract templates, negotiation playbooks, fallback positions, and legal processes
  • Support legal operations initiatives to improve scalability, efficiency, and consistency across contracting workflows
  • Monitor legal and regulatory developments impacting commercial transactions, technology services, privacy, and emerging technologies
  • Contribute to the ongoing development and maturity of the legal function as the organization grows

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school
  • Active membership in good standing with at least one U.S. state bar
  • 3–8 years of relevant legal experience, preferably including in-house counsel experience in a technology-focused environment
  • Demonstrated expertise negotiating and drafting complex commercial agreements independently
  • Strong business acumen with the ability to translate legal complexity into practical business guidance
  • Experience supporting sales, business development, or go-to-market teams in a fast-paced environment
  • Knowledge of privacy, data security, and cybersecurity-related contractual requirements
  • Familiarity with AI-related legal, contractual, or regulatory considerations is preferred
  • Excellent written, verbal, and interpersonal communication skills
  • Strong organizational and project management abilities, capable of managing multiple priorities simultaneously
  • Ability to work effectively in a remote and distributed environment across different time zones
  • Collaborative, solution-oriented mindset with a strong focus on stakeholder partnership
  • Experience negotiating enterprise agreements with large organizations and procurement teams is preferred
  • Familiarity with reseller, channel, managed service provider (MSP), or partner agreements is a plus
  • Prior experience in cybersecurity, software, SaaS, or technology industries is highly desirable
