Overview

This role involves serving as a strategic legal advisor managing complex commercial negotiations within the healthcare technology industry. The Legal Counsel - Commercial will primarily negotiate agreements such as SaaS subscription agreements, business associate agreements, data processing agreements, NDAs, and vendor agreements. A working knowledge of applicable data privacy laws, including HIPAA, is required to advise on legal implications during negotiations. Effective communication of deal status to internal and external stakeholders and flexibility in negotiation strategy are essential.

Responsibilities

  • Draft, review, and negotiate major and nonstandard technology contracts with public and private sector customers, including complex licensing agreements, professional services agreements, and SaaS subscription agreements for cloud-based offerings.
  • Drive standardization and continuous improvement of commercial contract terms, clause libraries, and playbooks while identifying and mitigating legal and commercial risks.
  • Serve as an escalation point for complex deal issues and cross-functional challenges.
  • Draft, review, and negotiate vendor agreements to support procurement functions, ensuring timely execution while adhering to financial, security, and legal guidelines.
  • Maintain a working understanding of applicable privacy laws, including HIPAA, related to handling personal health information and negotiate deals within those legal boundaries.
  • Collaborate with departments across the organization to close deals, protect business interests, set reasonable expectations for internal stakeholders, and identify key approvers to advance negotiations.

Requirements

  • Juris Doctor (JD) degree and active bar membership in at least one U.S. state.
  • Minimum of 4 years of experience as a qualified lawyer at a leading law firm and/or in the technology industry, including supporting global technology companies through complex transactions.
  • Solid understanding of corporate, commercial, and intellectual property law.
  • Proven experience drafting and negotiating technology-related subscription agreements for cloud-based software offerings.
  • Understanding of IT security controls and frameworks.
  • Demonstrated ability to influence and collaborate with cross-functional teams and build strong internal and external relationships.
  • Ability to provide clear, actionable legal guidance to executives and operational teams.

Preferred Qualifications

  • Practical experience and knowledge of applicable data privacy laws, including HIPAA.
  • Strong understanding of software, healthcare technology, and privacy regulations.
  • Ability to quickly grasp medical imaging concepts.
  • Experience with FDA regulations and/or software as a medical device (SaMD) or software in a medical device (SiMD).

Compensation & Benefits

  • Base salary range: $130,000 to $150,000 within any geographic market in the US.
  • Pay may vary depending on job-related knowledge, skills, and experience.
  • Total compensation package may include bonus and other forms of compensation.
