Overview

A growing legal team is seeking a Commercial Counsel to focus on commercial contracts and process improvements within a fast-paced, expanding organization. This role primarily involves negotiating customer-facing commercial agreements and providing legal support across the business to enable revenue teams to close deals efficiently and responsibly.

Location: Remote (Pacific Time or Mountain Time preferred)

Responsibilities

  • Negotiate, draft, and review commercial agreements including customer AI SaaS master service agreements, non-disclosure agreements, data processing addendums, security, and AI terms
  • Collaborate with sales and business teams to gather internal feedback and determine optimal approaches to contract requests
  • Ensure contract terms comply with data privacy laws such as GDPR, CCPA/CPRA, UK privacy law, and the EU AI Act to protect customer and personal data
  • Enforce organizational contract policies and procedures
  • Assist in evaluating and updating company document templates
  • Partner with Sales, Revenue Operations, and Deal Desk teams to resolve contracting bottlenecks and accelerate deal closure
  • Identify and implement improvements to contract workflows, templates, and playbooks to increase efficiency as deal volume scales
  • Support other legal projects as needed, including negotiating vendor and partner agreements

Requirements

  • 3-5 years of legal experience, with at least 1-2 years focused on commercial SaaS agreements (in-house or law firm representing technology clients)
  • Direct experience negotiating customer-facing agreements such as MSAs, NDAs, DPAs, and Order Forms
  • Working knowledge of data privacy frameworks including GDPR, CCPA/CPRA, or equivalent
  • Ability to identify issues and recommend practical, business-focused solutions balancing speed and risk management
  • Strong organizational skills with high attention to detail and accuracy
  • Comfortable working in a high-growth, dynamic, and evolving environment
  • Excellent interpersonal and communication skills, demonstrating perseverance, professionalism, and the ability to assertively advocate when necessary
  • Juris Doctor (J.D.) or equivalent degree from an accredited law school
  • Active bar membership in at least one U.S. state
  • Proficiency with contract management and customer tools such as Ironclad, Salesforce, DocuSign, and advanced Microsoft Word skills

Preferred Qualifications

  • Interest or experience in privacy, artificial intelligence (AI), the EU AI Act, and emerging SaaS product topics
