Overview

A rapidly growing technology company is seeking an experienced Commercial Counsel to join their expanding Legal team. This role involves working closely with the global go-to-market (GTM) team and contributing directly to the organization's growth. The position reports to the Director of Commercial Counsel and supports a remote-first work environment.

Responsibilities

  • Review, draft, and negotiate a variety of contracts including SaaS and software licensing agreements, partnership, reseller and MSP contracts, distribution agreements, non-disclosure agreements, and vendor contracts.
  • Collaborate with partner channel teams to facilitate and negotiate deals.
  • Provide expert legal advice and support to sales and cross-functional teams, focusing on problem-solving, risk assessment, and execution of selected options.
  • Utilize standardized contract review and risk-assessment processes, document contracts and obligations, and manage contracts using relevant tools and software.
  • Coordinate with internal teams on issues related to privacy, security, compliance, and product as needed.
  • Occasionally perform duties outside standard working hours due to remote work across multiple time zones.

Requirements

  • Minimum of 5 years of experience in a commercial in-house legal role at a technology company or equivalent technical experience.
  • Proven experience drafting and reviewing contracts using standardized review and risk-assessment processes.
  • Strong passion for law and technology, with eagerness to learn.
  • Experience supporting and collaborating with sales and partner channel teams to meet business objectives within legal risk parameters.
  • Ability to build consensus and align multiple internal and external stakeholders.
  • Experience working in a fast-paced, high-growth environment with problem-solving and execution skills.
  • Familiarity with business and legal operations systems such as Ironclad, Salesforce, and Guru.
  • Comfortable working remotely and independently across different time zones.
  • Strong sense of urgency and ability to work collaboratively in a team-focused environment.
  • Excellent written and verbal communication skills, including concise writing and clear cross-functional communication.
  • Exceptional attention to detail.
  • Juris Doctorate degree and a valid license to practice law in good standing.

Compensation & Benefits

  • Salary range: $148,000 - $208,000, dependent on geographic location and candidate's knowledge, skills, and experience.
