Overview
This role involves serving as a Commercial Lawyer within a commercial legal team that partners strategically with business units at the intersection of technology, product, and go-to-market execution. The position focuses on structuring and negotiating high-impact commercial agreements with partners and vendors to unlock revenue, accelerate product adoption, and deepen partnerships. The role primarily supports commercial legal work with opportunities to support lending partnerships.
Responsibilities
- Serve as commercial counsel for vendor and general commercial contracts from inception to execution, including SaaS, data, auto dealer software, and other third-party agreements.
- Provide practical, risk-aligned guidance to keep deals moving efficiently.
- Develop a deep understanding of products and vendor ecosystem, collaborating with Procurement, Third-Party Risk Management, Information Security, Product, Finance, and other internal teams.
- Review, draft, and negotiate a variety of commercial agreements such as master service agreements, software licenses, statements of work, data protection agreements, and professional services agreements.
- Manage deal flow by triaging and handling contract requests through tools like Zip and Ironclad, escalating issues appropriately, and streamlining intake, approvals, and closing processes.
- Contribute to building and improving the commercial legal function by creating scalable playbooks, templates, and training materials for Procurement and business teams.
Minimum Qualifications
- J.D. degree with strong academic credentials and active state bar membership (New York or California preferred).
- 5+ years of transactional experience in law firms and/or in-house roles focusing on technology and commercial contracts, including SaaS and data agreements.
- Experience negotiating complex SaaS and technology/data agreements, ideally within regulated industries or with regulated financial institutions.
- Strong negotiation skills with the ability to handle fast-moving, complex deals, balancing analytical judgment and emotional intelligence.
- Familiarity with privacy, security, and data-use terms, including data processing agreements and information security exhibits.
- Proactive problem solver with a "can-do" attitude, capable of driving matters from start to finish.
- High standards for work quality and collaboration with similarly high-performing teammates.
Preferred Qualifications
- Prior in-house experience on impactful legal teams within fintech, financial services, or technology companies; experience in startups or high-growth environments is a plus.
- Proven track record leading and closing complex commercial negotiations involving strategic SaaS, data, or infrastructure vendor deals.
- Curiosity about business operations and willingness to work cross-functionally beyond traditional legal responsibilities.
- Interest in mentoring and collaborating with legal team members and building scalable processes.
- Strong communication skills with the ability to translate complex legal and risk concepts into clear guidance for non-lawyers.
- Enthusiasm for engaging with new products, AI, data issues, and unfamiliar legal areas with a solutions-oriented mindset.

Compensation & Benefits
- Anticipated base salary range: $152,000 to $210,400 USD, dependent on geographic location, skills, experience, and education.

- This is a remote position available within the United States.
- The team operates primarily on East and West coast time zones.
- While most work can be done remotely, employees are encouraged to participate in in-person collaboration sessions once or twice per quarter, typically lasting 2-4 consecutive days.
