Overview

The organization is seeking a Commercial Legal Director to join its Legal team. This role serves as a key legal partner to commercial, sales, and partnerships stakeholders, supporting drafting, negotiation, and closing of technology, data, and partnership agreements. The position emphasizes practical, business-minded risk management and cross-functional collaboration across Sales, Partnerships, Product, Engineering, Finance, and People.

Responsibilities

  • Draft, review, and negotiate commercial agreements, including:
    • SaaS/platform agreements
    • Publisher agreements
    • Data and licensing agreements
    • Marketing and media insertion orders
    • NDAs
    • Strategic partnership contracts
  • Build technical understanding of data flows and technology to advise on innovative commercial deal frameworks.
  • Advise stakeholders on commercial and contractual risks, providing clear, practical guidance that balances risk with business objectives.
  • Partner with Sales, Partnerships, and Product to support deal structuring, product review, and contract execution.
  • Maintain and improve contract templates and playbooks to support consistency and speed.
  • Identify, research, analyze, and coordinate responses with cross-functional teams on potential risks across relevant legal topics (including commercial, data security, and privacy laws).
  • Contribute to Legal team process improvements and knowledge management as the organization scales.

Requirements

  • Juris Doctor from an accredited law school.
  • Active membership in at least one U.S. state bar in good standing.
  • 8+ years of combined experience practicing law, with a focus on commercial transactions at a law firm, in-house at a technology company, or a combination of both.
  • Experience drafting and negotiating commercial and technology agreements, ideally including SaaS, data, advertising, and/or partnership deals, including deals involving financial institutions and large technology companies.
  • Deep understanding of privacy, data governance, and AI, including expertise in the EU AI Act.
  • Strong business acumen, with the ability to understand product and commercial strategies and translate them into practical legal advice.
  • Excellent communication, drafting, and negotiation skills, with the ability to influence and build trust with stakeholders at all levels.
  • Experience working in a fast-paced, high-growth environment with competing priorities and tight timelines.

  • Proactive and curious learner who stays current on developments in technology and commercial law and shares knowledge with the team.
