Overview
A partner organization is seeking a Contract Attorney / Legal Analyst based in the United States to support the legal functions of a rapidly scaling AI-driven SaaS business. This role involves reviewing, negotiating, and structuring commercial agreements to facilitate enterprise deals efficiently within a fast-paced, collaborative environment.
Responsibilities
- Review, redline, and negotiate a high volume of commercial agreements including NDAs, MSAs, SOWs, DPAs, and BAAs
- Respond promptly and accurately to customer-requested contract modifications while balancing legal risk and business needs
- Draft, maintain, and improve reusable contract templates for commercial, reseller, and partner agreements
- Advise internal teams on data privacy obligations such as GDPR, CCPA/CPRA, and Standard Contractual Clauses (SCCs)
- Collaborate with compliance stakeholders to ensure contractual alignment with SOC 2, ISO 27001, and other security frameworks
- Support deal execution by participating in customer legal discussions and accelerating contract turnaround times
- Design and optimize scalable legal workflows and contract management processes
Requirements
- Minimum 3 years of experience in commercial law, SaaS agreements, or technology transactions (law firm or in-house)
- Strong hands-on experience drafting and negotiating NDAs, MSAs, SOWs, DPAs, and BAAs at scale
- Solid understanding of data privacy regulations including GDPR, CCPA/CPRA, and SCCs
- Familiarity with compliance standards such as SOC 2 and ISO 27001 as they relate to contractual obligations
- Proven ability to create contract templates and improve legal documentation from scratch
- Excellent written and verbal communication skills in English with strong attention to detail and clarity
- Ability to work independently and manage priorities in a fast-paced, high-growth environment
- Experience with SaaS, AI, or high-growth technology companies is a strong plus
- Familiarity with HIPAA, reseller agreements, or AI/voice technology is advantageous
- Experience using AI tools to enhance legal workflows is a plus
