Overview
This is an hourly, remote contractor role for a Contract Review Subject Matter Expert (SME). The work involves reviewing AI-generated contract analyses and drafting outputs and/or creating expert contract content. You will evaluate reasoning quality and provide precise, written feedback, including step-by-step issue spotting.
This role does not have an immediate project assigned. If qualified, you will be among the first experts contacted when relevant opportunities arise, with potential access to future projects through the organization’s expert network.

- Optimize AI performance: Evaluate and rank AI responses to improve correctness, defensibility, clarity, and practical negotiation usefulness.
- Ensure model integrity: Test AI outputs for inaccuracies, misleading certainty, confidentiality risks, and bias; validate reliability across contract scenarios.
- Assess contract outputs: Review solutions for accuracy, clarity, completeness, and adherence to the prompt.
- Identify contract issues: Detect errors in clause interpretation, risk allocation problems, missing terms, ambiguity, enforceability concerns, and negotiation strategy issues.
- Fact-check legal concepts and citations: Verify legal concepts and citations when required.
- Produce corrective guidance: Write high-quality explanations and model revisions demonstrating correct, risk-aware contract reasoning.

- Risk identification: Strong ability to identify and explain contract risk, including liability caps, indemnities, warranties, limitations/exclusions, termination rights, payment risk, and IP ownership/licensing.
- Commercial agreement review/redlining: Experience reviewing and redlining common commercial agreements as applicable, including MSAs, SOWs, NDAs, DPAs, SaaS/subscription agreements, vendor/supplier agreements, and services agreements.
