Overview
This role involves reviewing, analyzing, evaluating, and negotiating a variety of commercial contracts, including master services agreements, purchase orders, confidentiality agreements, and vendor agreements. The position serves as a trusted legal advisor by providing practical advice and counseling on key legal risks associated with commercial contracts in the construction industry.
Responsibilities
- Review, analyze, evaluate, and negotiate commercial contracts such as master services agreements, purchase orders, confidentiality agreements, and vendor agreements.
- Provide practical legal advice and counsel on key legal risks related to commercial contracts.
- Communicate and recommend changes to contractual terms with branch offices, third parties, and customers.
- Ensure compliance with company policies and procedures, including Delegation of Authority.
- Advise on legal issues related to operations by assessing, balancing, and communicating risks and benefits to business stakeholders and Assistant General Counsel.
- Develop legal solutions while managing practical business considerations.
- Collaborate with the Contracts Team and internal clients to develop strategies to address and resolve contractual issues.
- Build rapport with internal clients and stakeholders to deliver exceptional service.
- Understand legal and business goals and their impact on commercial operations.
- Assist with implementing and managing contract management and legal matter management systems.
- Collect, analyze, and summarize contract information and trends.
- Train additional Contracts Team members as the team grows.
- Partner with other Assistant General Counsel and internal stakeholders on enterprise-wide initiatives, including ESG initiatives and Enterprise Risk Management.
Requirements
- Experience reviewing, drafting, analyzing, and/or negotiating construction contracts is preferred.
- Excellent oral and written communication skills.
- High degree of cultural and emotional intelligence.
- Demonstrated resilience, flexibility, and adaptability in a fast-paced environment.
- Ability to work remotely with strong interpersonal and collaboration skills across functions and locations.
- Professional and respectful communication style with team members, internal clients, customers, and vendors.
- Operate with discretion, integrity, and confidentiality.
- Self-motivated with the ability to work independently and prioritize multiple tasks under tight deadlines.
- Strong attention to detail and organizational skills.
- Proficiency in Microsoft Word, PowerPoint, Adobe Acrobat, Outlook, and Excel.
- Bachelor’s degree from an accredited four-year college or university; top of class preferred.
- Juris Doctor from a nationally accredited law school.
- Preferred 1-2 years of experience as a practicing attorney.
- Good standing with any State Bar, including current CLE requirements.
