Overview
A confidential, US-based remote project for experienced contract lawyers. The work reflects everyday commercial practice: review drafts, redline against defined playbooks, and document the rationale behind each change.
Responsibilities
- Redline commercial agreements (including master services agreements, NDAs, data-processing addenda, and similar documents) according to defined playbooks and policy positions
- Identify issues in each draft, select the company position, and determine acceptable fallback positions
- Provide short, reasoned explanations for every change made
- Maintain consistency of interpretations with the rest of the project team
- Work independently to deadlines in a fully remote setup
Requirements
- JD and an active license in a US jurisdiction
- Four or more years of transactional practice in drafting, reviewing, and negotiating contracts (firm or in-house)
- Deep familiarity with frequently negotiated clauses, including:
- liability caps
- indemnities
- confidentiality
- data protection
- Strong written analysis and consistently accurate contract interpretation
- Technology-transactions experience is a strong plus
- No AI background needed; contracting knowledge is the focus
Compensation & Benefits
- Remote independent-contractor engagement for US-based lawyers
- 20 or more hours a week
- Paid hourly at $90 to $110
