Overview

This role provides part-time, as-needed contract review support for a small consulting firm. Support is primarily needed during vacations, unexpected absences, or other periods when the firm’s existing Contract Specialist is unavailable.

The ideal candidate can step in on relatively short notice, work independently, and efficiently review and negotiate professional services and consulting-related agreements.

Responsibilities

  • Review, revise, and negotiate professional services agreements, consulting agreements, and subconsultant agreements.
  • Review contracts involving federal, state, and local governmental agencies, as well as private-sector infrastructure, engineering, and construction companies.
  • Identify contractual, legal, and commercial risks and recommend practical, business-oriented revisions.
  • Review and negotiate provisions involving:
    • Indemnification
    • Limitation of liability
    • Insurance
    • Confidentiality
    • Intellectual property
    • Termination
    • Payment terms
    • Scope of services
    • Flow-down obligations
    • Other commercial terms
  • Identify and address contractual requirements that may arise when performing work on public-sector or government-funded projects.
  • Provide backup contract support during vacations, unexpected absences, or temporary increases in workload.
  • Work independently with minimal supervision while maintaining consistency with established contracting practices and risk tolerances.
  • Coordinate with internal business stakeholders as needed to efficiently resolve contract issues.

Requirements

  • Approximately 5–10 years of relevant contracts experience.
  • Substantial contract review and negotiation experience.
  • Strong experience reviewing professional services, consulting, and subconsultant agreements.
  • Experience reviewing contracts involving government agencies, public-sector entities, infrastructure projects, construction, engineering, or professional services firms is strongly preferred.
  • Familiarity with contractual requirements associated with federal, state, or local government work and government-funded projects is highly desirable.
  • Experience evaluating flow-down requirements, insurance provisions, indemnification obligations, and other risk-allocation provisions common in construction, engineering, and infrastructure-related agreements is preferred.
  • Ability to quickly identify material legal and commercial risks and provide practical solutions.
  • Strong drafting, negotiation, communication, and organizational skills.
  • Comfortable working independently in a small-business environment.
  • Ability to provide flexible, short-term or ad hoc coverage as needs arise.

Preferred Qualifications

  • Experience with Washington State contracts or public-sector projects is helpful.

Compensation & Benefits

  • Pay: Annualized pay for this position ranges from $80,000 - $130,000 when calculated on a full-time basis.
    • Pay for contract engagements is based on multiple factors including work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
