Overview
A dynamic organization specializing in cybersecurity is seeking a Corporate Attorney with 3-7 years of experience to join their in-house legal team. This role involves negotiating customer Master Service Agreements (MSAs), reviewing vendor contracts, managing legal projects and disputes, handling employee legal matters, and overseeing external law firms. The attorney will also collaborate on corporate policies such as employee handbooks and remote work policies.
Responsibilities
- Lead negotiation, drafting, and review of customer Master Service Agreements (MSAs), ensuring compliance and protection of company interests.
- Maintain and update corporate contract templates including MSAs, NDAs, BAAs, independent contractor agreements, and restrictive covenants.
- Review, draft, and negotiate vendor agreements aligned with company goals and legal requirements.
- Manage various ad hoc legal projects in collaboration with internal and external stakeholders.
- Serve as primary contact for managing and resolving customer contract disputes.
- Provide legal guidance on employee-related issues including contracts, disputes, terminations, and labor law compliance.
- Manage relationships with external law firms to ensure timely, cost-effective, and quality legal services.
- Collaborate on corporate policies, ensuring regulatory compliance and effective communication to employees.
Requirements
- Juris Doctor (JD) degree from an accredited law school.
- 3-7 years of experience as a corporate attorney, preferably in an in-house legal department or law firm specializing in corporate law.
- Licensed attorney in Maryland.
- Demonstrated experience using AI-powered legal technology for contract drafting, review, and legal research, with sound judgment in verifying AI outputs and maintaining confidentiality.
- Strong contract negotiation and drafting skills.
- Experience with employment law, vendor agreements, and corporate governance.
- Excellent written and verbal communication skills.
- Strong analytical and problem-solving abilities.
- Ability to manage multiple projects and prioritize effectively.
- Experience managing external law firms and vendors.
Preferred Qualifications
- Experience in the technology or cybersecurity sector.
- Familiarity with data privacy and security regulations.
- Experience handling corporate compliance and regulatory matters.
