Overview

An established business law firm is seeking an experienced Corporate Compliance Paralegal for a large-scale, multi-state corporate filing and compliance project. This contract role involves coordinating and completing entity, tax, payroll, and regulatory filings across numerous U.S. jurisdictions over an approximately two-month engagement.

  • Location: Remote (anywhere within the United States)
  • Duration: Contract, project-based (approximately two months)
  • Compensation: $40 to $60 per hour
  • Hours: 20+ per week
  • Work Authorization: U.S. work authorization required; no sponsorship available

Responsibilities

  • Prepare and complete foreign qualifications, business registrations, withdrawals, dissolutions, annual reports, and renewal filings across multiple states
  • Register and close state Department of Revenue, employer and payroll tax, and unemployment insurance accounts; complete related labor agency filings
  • Communicate directly with Secretary of State offices, revenue departments, and labor agencies to obtain account information, resolve access issues, and clear deficiencies
  • Prepare, track, and manage powers of attorney and authorization forms required to complete filings
  • Support multi-state nexus review and flag outstanding compliance issues requiring attorney review
  • Maintain project trackers, compliance calendars, and status reports covering filing deadlines, deficiencies, and confirmations
  • Coordinate with attorneys, payroll providers, and client representatives to keep filings moving and documentation complete
  • Confirm filing acceptance and maintain organized records of submissions, confirmations, and correspondence by jurisdiction

Qualifications

  • Minimum 5 years of corporate paralegal experience, including significant multi-state corporate compliance and registration work
  • Direct experience filing with multiple state Secretary of State offices and managing state tax and employer registration matters
  • Familiarity with payroll tax and unemployment account administration, including coordinating with agencies to obtain information, close accounts, and resolve issues
  • Strong project management and organizational skills, with the ability to manage a high volume of simultaneous filings
  • Ability to independently research state-specific filing requirements
  • Excellent written communication skills and comfort engaging directly with state agencies
  • Proactive, self-directed, deadline-driven, with strong follow-through and time management

Preferred Qualifications

  • Experience supporting businesses operating in 10 or more states
  • Experience with foreign qualification projects, entity restructurings, conversions, or payroll entity transitions
  • Law firm experience serving multiple business clients
  • Familiarity with payroll systems such as ADP, Paychex, Paylocity, or Pay Northwest
  • Experience handling compliance matters involving remote employees and multi-state workforce issues

Compensation and Benefits

  • Compensation range: $40 to $60 per hour, depending on experience, skills, internal equity, and geographic location
  • Contract engagement with a competitive hourly rate
