Overview

An established logistics organization is seeking an experienced Corporate Counsel specializing in Commercial Contracts to join their growing U.S. legal team. This mid-level, in-house role reports directly to the Chief Legal Officer and is ideal for an attorney with 5+ years of experience who thrives in a fast-paced environment and enjoys close collaboration with business partners.

Responsibilities

  • Draft, review, negotiate, and manage a wide range of commercial agreements including master warehousing agreements, statements of work, amendments, real estate leases, estoppels, NDAs, and vendor agreements.
  • Oversee contract management for the U.S. division, working with Fortune 500 customers, lessors, and vendors.
  • Provide practical, business-oriented legal advice to internal stakeholders.
  • Identify, assess, and mitigate legal risks through well-drafted contracts.
  • Balance risk mitigation with enabling business objectives to facilitate agreements.
  • Build and maintain strong relationships with cross-functional teams to address evolving business needs.
  • Deliver transparent and timely reporting to leadership and operational teams.
  • Contribute to process improvements and help develop scalable legal infrastructure.
  • Update contractual policies, templates, and procedures to ensure compliance with current laws and business practices.
  • Manage competing priorities and deliver high-quality work under tight deadlines.
  • Observe and assist in enforcing company safety rules.
  • Perform other duties as assigned.

Requirements

Minimum Qualifications

  • Juris Doctor (JD) degree from an accredited U.S. law school.
  • Active license to practice law in at least one U.S. state.
  • Minimum of 5 years of legal experience with a strong focus on commercial contracting, including bespoke drafting.
  • Proven ability to draft and negotiate complex, high-value commercial contracts from scratch.
  • Excellent writing, negotiation, and oral communication skills.
  • Ability to work independently within a small, collaborative legal team.
  • Strong business judgment with the ability to translate legal concepts into practical guidance.
  • Exceptional organizational skills and attention to detail.
  • Strong analytical and problem-solving abilities.
  • Proficiency with Microsoft Office Suite and contract management tools such as DocuSign or similar platforms.

Preferred Qualifications

  • Prior in-house experience supporting commercial contracting.
  • Residence in North Carolina, New Jersey, Georgia, or Pennsylvania (remote work preferred in these states).
  • Experience or willingness to support employment-related matters and litigation oversight.

Compensation & Benefits

  • Salary range: $135,000 - $145,000 per year, based on experience.

Location

This is a remote position with a strong preference for candidates located in North Carolina, New Jersey, Georgia, or Pennsylvania.

Additional Information

  • Work schedule: Monday through Friday, 8 AM to 5 PM, with flexibility to work outside normal business hours as needed.
  • Travel: Approximately 15%.
