Overview
This role involves serving as Corporate Counsel, playing a central part in key deals and negotiations. The position requires a commercially savvy and pragmatic lawyer who can maintain firm contract positions without jeopardizing deals. The role includes direct collaboration with leadership and emphasizes efficiency and speed in legal processes.
Responsibilities
- Review and negotiate customer and vendor agreements, including Master Service Agreements (MSAs), Data Processing Agreements (DPAs), Non-Disclosure Agreements (NDAs), information security annexes, and supplier codes of conduct.
- Manage a high volume of enterprise contracts across major customers and vendors, ensuring timely deal closure without becoming a bottleneck.
- Conduct legal research beyond core expertise areas to provide fast, well-reasoned advice, determining when to engage specialized outside counsel.
- Partner closely with the sales team to protect the organization's interests while maintaining deal momentum.
- Develop and maintain contract templates, redline playbooks, and internal guidance to streamline lower-risk paperwork and reduce the need for full legal review.
Requirements
- Experience as a contract lawyer or commercial counsel, with comfort handling SaaS, enterprise, and vendor agreements.
- Proven expertise negotiating large, complex enterprise sales agreements.
- Ability to provide pragmatic and professional pushback, holding firm on key positions while preserving relationships and facilitating deal completion.
- Proficiency with AI and other tools to accelerate legal research and drafting, especially outside primary areas of expertise.
- Strong bias toward action, providing clear and timely guidance without over-escalating to outside counsel.
- Some experience with international or EU commercial contract law.
Preferred Qualifications
- Prior in-house experience at an early or growth-stage startup.
- Familiarity with agreements related to enterprise cloud, hosting, or bare metal infrastructure vendors and customers.
Compensation & Benefits
- Competitive salary range of $180,000 to $220,000, including equity.
