Overview

A leading organization in the Pharmaceuticals & Biotech sector is seeking a Corporate Counsel (Director) to join their team remotely. This role involves supporting high-impact legal work that directly contributes to business performance and team success. The position requires collaboration across multiple functions to advance priorities, solve complex problems, and deliver measurable outcomes. It offers the opportunity to influence both strategic direction and day-to-day execution in a fast-paced environment.

Location: Remote (U.S. based candidates only; no visa sponsorship available)

Compensation: $175,000 – $225,000 annually

Responsibilities

  • Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements
  • Assist with compliance related to Nasdaq listing standards, ensuring corporate governance and shareholder approval requirements are met
  • Contribute to U.K. reporting obligations, including annual reports and governance disclosures
  • Prepare materials for the Board of Directors and committees, managing agendas and presentations
  • Monitor developments in U.S. and U.K. securities laws and corporate governance practices
  • Collaborate with finance and investor relations teams on earnings releases and investor presentations
  • Support sustainability disclosures by coordinating ESG data and aligning with relevant disclosure frameworks

Qualifications

  • J.D. from an accredited law school with active bar membership in at least one U.S. jurisdiction
  • 3-6 years of relevant experience, preferably from a top-tier law firm
  • Direct experience with SEC reporting and public company compliance is required
  • Strong familiarity with Nasdaq rules and listing standards preferred
  • Exposure to U.K. public company reporting and governance requirements is a plus
  • Experience or interest in sustainability disclosure and reporting is advantageous
  • Excellent drafting, analytical, and communication skills

Preferred Skills and Experience

  • Knowledge of SEC filings and reporting processes
  • Understanding of Nasdaq listing rules and corporate governance best practices
  • Experience supporting Board of Directors and enterprise risk management (ERM) programs
  • Familiarity with U.K. public company governance and reporting obligations
  • Experience with sustainability disclosure and ESG frameworks
  • Skills in contract negotiation and management
  • Familiarity with capital markets transactions
