Corporate Counsel Expert - Remote

Overview

This role is for experienced corporate counsel contractor to support technology-transaction review and evaluation work, including analyzing and providing expert feedback on AI-generated legal content.

Responsibilities

• Draft, redline, and participate in simulated negotiations.
• Review MSAs, NDAs, DPAs, and other technology agreements.
• Evaluate AI-generated contract analysis and provide expert feedback.
• Develop playbooks, evaluation frameworks, and grading criteria for contract-related tasks.
• Identify legal risks, inconsistencies, and areas for improvement.
• Collaborate remotely with legal, product, and research teams.

Required Qualifications

• J.D. from an ABA-accredited law school.
• Active bar admission in at least one US jurisdiction.
• 3+ years of in-house experience focused on technology transactions.
• Strong experience negotiating MSAs, NDAs, DPAs, and related commercial agreements.
• Excellent contract drafting, redlining, negotiation, and communication skills.
• Strong analytical skills and attention to detail.
• Ability to work effectively with cross-functional teams.

Preferred Qualifications

• Experience with AI, legal technology, or legal content evaluation.
• Corporate law firm experience in M&A or private equity fund formation.
• Experience developing legal playbooks or review frameworks.
